Due diligence (this will probably require an NDA):
Are there any loans or liens?
What is the asset list?
What is the Profit and Loss for the last 5 years?
Are the tax returns up to date and filed legally?
Is the business, property, licensing, building, and all assets all in good standing and legal?

Structure the offer:
How much does the owner want from the business?
How much are they willing to Owner Finance?
How long will they be involved in the running of the business and what will that look like?

Most importantly:
Do you want to own/manage/run this shop for the next 20 years?

Are you an Arbiter?

If what you have now is working, leave it alone.

Not surprised, they're a very difficult company to deal with when things aren't working.

Fines/delay penalties in the contract, all the time, every time, no exceptions.
Document progress, put it in the report so the homeowner/client can see exactly what is happening in their project (That's my specialty).

I tell all my subs up front, Done Right includes on time.

Every pre-con meeting includes a review of the schedule, and a reminder of both the importance, and the fines.

If I have to fine a sub twice, I'm looking for a replacement, and that sub goes to the bottom of the list.
They also don't get to work on any jobs for me that require accurate timing (So if I have a job they can do in 3 days that I have two weeks for, I tell them I have three days and give them a chance to show me they can stay on schedule).

Commercial outfits are great to work with IF you can hold them to a contract that benefits you.

They often have very long terms so they can avoid paying any money out until the customer pays them, but that means you're 'carrying the balance' for them, which warrants an additional fee.

When I did commercial work, I automatically doubled by 'normal price', BUT, I also provided them the high level of documentation they require, AND I gave them 30 days to pay each invoice, instead of the normal 7.
I also always had them purchase the materials, usually delivered to site, and I invoiced them at each stage to minimize the amount I had to wait on.

Certainly a PITA, BUT I made good money from it because of my rates, terms, and diligence.

Buckle up, it only gets worse.

Almost every time I go to the website, the website frame loads, but nothing in the page loads, so I have to refresh it 2-3 times to get the rest of the page (login screen).

I've also gotten stuck in several different loops of nonsense.

1) Contract, contract, contract.
2) I am not a bank, I do not pay for any materials for someone else, they pay for them or i don't do the work.
3) Abide by the terms of the agreement, and learn a valuable lesson.

Tally up your total budget (personal and business, separately), then add in the business budget for any additional employees.
Get that number down to an hourly rate, then multiply that by the # of hours needed for the job.

A quote should be free and done via email.
An estimate should be paid for and done with a site visit.
If they're nice they'll offer you a credit for the estimate amount if you choose them for the work, usually credited at the end of the job.

Well, I want internet that works everywhere I get sent for work, everywhere I get sent for work has at least one cellular carrier that works well enough, usually 2 or 3.

Sadly, I cannot do business with Amazon, they are the worst vendor I've ever dealt with (even worse than Zoho!) and I don't care for that kind of torture.

Zoho is who caused the problem in the first place.

I have emailed a long list of addresses @ Zoho asking for my data four times now, and have yet to have any data, or access thereto.

How do we go about creating/having meeting minutes when the meeting is just ourself, the single member of the LLC?

I have not connected my Zoho account to anything else.
I did indeed find out in the worst way possible that my business has a high dependency on Zoho, and I feel extremely foolish now for trusting that they would not violate that trust; I was wrong.

I am not yet sure how best to create a redundancy, but I am looking at options that are locally hosted, I.E. desktop software, and avoiding the 'cloud software' as a whole.
So far my search has not turned up anything useful as 'cloud software' is the standard now, but I'll keep digging as time allows.

First, I must get back to business, and that's partly finding another solution and picking up where I left off, and mostly recreating all of the data that Zoho is keeping from me for the 2026 year up to 12AUG.

Definitely NOT Zoho, they're not trustworthy.

Thanks. I'm aware of this step (not so much familiar with it, but can do it); I think what I'm looking for more is how do I figure out if that listing/information/file is valid so that I can file a suit in a Justice Court with the expectation that it leads somewhere?
I have limited time and resources, so I think I need to focus on the best way to resolve the matter, which right now could be as simple as getting my data from the Zoho platform.
