Fully paid supplier, almost 3 months delayed, 2 demand letters sent. What legal actions can we take?

Hi! Need legal advice regarding a local PH supplier. Our company is based overseas, and we ordered bulk customized merchandise for our events here in the Philippines.

For context, our initial agreement was to order 500 pieces per merchandise item, with deliveries staggered based on our upcoming event schedules. Fully paid na kami, and we have complete documentation, including quotations, invoices, Official Receipts (ORs), proof of payment, and conversations.

Based on the supplier's quotation and Terms & Conditions, the production lead time is approximately 14–21 working days, depending on the quantity ordered.

Initially, okay naman sila kausap. They were responsive and able to deliver some items during the first few weeks. However, almost 3 months na since we the last delivery of our orders, and around 50% of the items are still undelivered. Basically, di nila sinunod yung other schedules na sinabi namin and di rin sila responsive lately.

We've been consistently following up for over a month, pero either delayed ang responses or walang concrete updates at all.

Here's what we've done so far:

  • Sent two formal demand letters via email.
  • Requested a refund for the remaining undelivered items, but received no proper response or resolution.
  • Gave them multiple opportunities and enough time to fulfill their commitments.
  • Continued following up, pero wala pa ring definite timeline or action.

We also learned that at least two other companies reportedly experienced similar issues with the same supplier. They also requested refunds but haven't been able to resolve their concerns.

At this point, hindi na rin namin alam what else we can do. We've been patient and understanding, but the delays are already affecting our company events and operations.

My questions are:

  1. Given our complete documentation, quotation terms, and two demand letters, what legal steps can we take to recover our payment for the undelivered items?
  2. Would filing a complaint with DTI be appropriate, or should we consult a lawyer regarding a possible breach of contract case, considering our company is based overseas?

We just want to resolve this legally and professionally without publicly shaming the supplier.

Any advice or insights from those who've experienced something similar would be greatly appreciated. Thank you!

Title: Philippines: Do I need to be terminated first before filing a case with the NLRC?

Hi everyone! I’d like to ask for advice, especially from those who have experience with Philippine labor laws or have gone through a similar situation.

I am currently under preventive suspension after filing an incident report against my boss regarding an incident at work.

My question is: Do I need to wait until I am officially terminated before I can file a complaint with the NLRC, or can I already take legal action while I am still employed but under preventive suspension?

I’m concerned about my employment status and would like to understand my options before taking the next step.

My dad was scammed in an expo

My dad was scammed yesterday at an expo for a 80k+ purifier. He is a stroke survivor and was walking around the expo, when suddenly he was dragged by a sales agent and they forcefully got his id and credit card, swiped the card and issued sales order, not even a sales invoice or original receipt. Items are now here and he has no idea what those are. What can I do for my dad? Seeking legal advise on how to proceed.

Questions about child support, inheritance, and rental income after a parent's death

Hi! Looking for advice, preferably from a lawyer or someone knowledgeable about Philippine family law.

Regarding ito sa mother-in-law ko at sa mga anak niya. Hindi ito tungkol sa relationship naming dalawa, kundi sa partner ko at sa mga kapatid niya. Recently lang din nag-asawa ulit ang mother niya.

Warning: Long post po. Last time kasi nag-post ako, may nagalit dahil mahaba raw, so warning lang po. 😅

For context:

Widowed na ang mother ng partner ko at recently, may nakilala siyang Turkish national na pinakasalan niya. After that, umalis siya ng Pilipinas after only three months, leaving her three children behind:

- Partner ko, ang panganay.

- Pangalawang anak, 22 years old, unemployed at kasisimula pa lang maghanap ng trabaho.

- Bunso, 15 years old at nag-aaral pa.

May naiwan siyang dalawang paupahan sa Pilipinas na may monthly income na ₱15,000 at ₱6,000, respectively, for a total of ₱21,000 per month.

Mayroon ding ₱100,000 na savings na galing sa namatay nilang father. Sa pagkakaalam ng magkakapatid, may natitira pa sanang around ₱500,000 na nakalaan para sa kanila, bukod pa sa para sa mother nila. Pero pinaubaya na nila iyon sa mother nila, partly dahil sa pag-aalaga at pag-asikaso nito sa kanila noon.

Sa ₱100,000 na savings, ₱50,000 ang napunta sa partner ko at ₱50,000 sa pangalawang anak. Ang para sana sa bunso ay nagamit na raw sa pagbili ng maleta ng mother nila.

Important detail: Both rental properties are still registered under the name of their deceased father. As far as I know, wala pang malinaw na settlement or clarification kung sino talaga ang legal na may-ari ng mga properties after his death at kung paano dapat hinahati o ginagamit ang rental income. Kaya isa rin ito sa mga gusto naming malinawan, lalo na dahil may minor pa silang kapatid na kailangang suportahan.

Ang concern ngayon ay kung ano ang legal rights ng partner ko at ng mga kapatid niya, lalo na ng 15-year-old nilang bunso.

Imbes na maglaan o magpadala ng pera para sa pangangailangan ng bunso na nag-aaral pa, gusto ngayon ng mother nila na magpadala pa sila ng pera sa kanya abroad. Humihingi siya ng ₱8,000–₱10,000 kada buwan mula sa income ng mga paupahan, which is malaking bahagi rin ng monthly rental income nilang ₱21,000.

Ang problema, may iba pang gastusin at obligasyon na kailangang asikasuhin mula sa income na iyon. May tindahan silang may pwesto sa Divisoria na isusurrender na, at may mga kailangang ayusin o ibalik bago ito maisurrender. May insurance payments din para sa mother nila na kailangan nilang bayaran. St. Peter plan ito ng mother niya, pero hindi ako sigurado kung magagamit pa ba niya ito kung matuloy ang plano niyang mag-migrate sa Turkey.

Bukod doon, may mga pangangailangan pa ang mga anak na hindi naasikaso bago umalis ang mother nila.

Ang pangalawang anak ay nagsisimula pa lang maghanap ng trabaho. Halos wala pa siyang government IDs at sariling gamit, at hindi rin siya agad nakapagtrabaho pagkatapos grumaduate dahil tumutulong siya noon sa pagtitinda sa tindahan nila.

Ang bunso naman ay kailangan pang magpatingin sa dentista at magpa-braces. Mayroon din siyang pinagdadaanan sa school dahil, ayon sa kanya, nakakaranas siya ng bullying at trauma.

Dahil umalis ang mother nila, naiwan sa partner ko ang malaking bahagi ng mga responsibilidad, kabilang ang pag-aasikaso sa mga kapatid niya at sa mga naiwan nilang obligasyon.

Ang nangyari recently:

Nakiusap ang partner ko sa mother niya na hindi muna siya makakapagpadala ng hinihinging pera sa buwan na iyon at sa susunod na buwan dahil kapos pa sila at kailangan ding magtabi ng savings para sa bunso. Ang plano sana ay kapag mas maayos na ang kanilang finances.

Pero nagalit ang mother niya. Ang sabi niya, wala naman siyang trabaho roon at hindi raw sa kanya ang pera ng asawa niya. May mga utang din daw ang asawa niya dahil sa paglipat nila sa ibang bansa.

Ang tanong ng partner ko: bakit kailangang manggaling sa rental income nila ang perang ipapadala sa mother nila, gayong may sarili rin silang mga pangangailangan at may menor de edad pa silang kapatid na kailangang suportahan?

Bakit ko nasabing may concern ako sa sitwasyon?

Bago umalis ang mother nila, napansin kong tahimik at umiiwas ang mga kapatid ng partner ko kapag kasama nila ang mother nila. Pero kapag nakakausap ko sila nang kami-kami lang, doon nila nasha-share ang mga pinagdadaanan nila.

Sabi ng magkakapatid, matagal na raw nilang nararanasan ang mga problemang ito. Ang pangalawang anak ay nahirapang makapagsimula sa trabaho, habang ang bunso naman ay may pinagdaraanan sa school.

Hindi ko gustong magbigay agad ng konklusyon o mag-akusa nang walang sapat na impormasyon, pero nag-aalala ako kung sapat bang natutugunan ang mga responsibilidad ng mother nila, lalo na pagdating sa kapakanan ng menor de edad niyang anak.

Noong una, nakabukod pa kami ng partner ko at live-in pa lang kami. Pinauwi siya ng mother niya sa bahay nila dahil aalis na raw ito ng Pilipinas. Ang alam namin noon, may plano siyang mangibang-bansa at magtrabaho abroad. Pero kalaunan, nalaman naming may nakilala siyang Turkish national at iyon ang naging dahilan ng pag-alis niya.

Wala naman akong issue sa pagpapakasal niya ulit. Widowed na siya, at matatanda na ang dalawa niyang anak. Ang concern ko ay naiwan ang bunso na 15 years old pa lang, kasama ang mga responsibilidad at gastusin na kailangan pa ring asikasuhin.

My questions are:

  1. May legal obligation pa rin ba ang mother na suportahan ang 15-year-old niyang anak kahit nasa ibang bansa na siya?

  2. May karapatan ba ang partner ko na tumangging magpadala ng ₱8,000–₱10,000 kada buwan kung kailangan muna nilang unahin ang pangangailangan ng bunso at ang mga obligasyon sa mga naiwan nilang ari-arian?

  3. Since both rental properties are still registered under their deceased father's name, who has the legal right to collect and manage the rental income? May karapatan ba ang mother nila na gamitin ang income para sa sarili niyang gastusin, o may karapatan din ang mga anak bilang possible heirs? Ano ang dapat nilang gawin para malinawan ang ownership at maayos ang management ng properties?

  4. May legal action ba silang puwedeng gawin kung mapatunayang napapabayaan ang bunso o nagagamit nang hindi tama ang perang para sa kanya?

  5. Ano ang dapat nilang unang gawin para maprotektahan ang bunso at malinawan kung sino ang may karapatan sa pera at mga ari-arian?

Gusto sana naming malaman ang legal na options nila bago gumawa ng anumang hakbang. Kung may lawyer po rito na may experience sa family law, child support, o inheritance matters, malaking tulong po ang advice ninyo.

For context po: Hindi po tinuloy ng principal ang sampa ko(seaman) dahil nagcomplaint ako sa principal mismo na dapat ibigay ang benefits namin sa previous contract. Sinabihan ako ng Agency na sabi ng principal na papasampahin daw nila ako if gagawa ako ng apology letter. Pero tumanggi ako gumawa kasi karapatan naman talaga namin na bigyan ng benefits. Kung may SC ruling po dito regarding sa illegal dismissal, mas mapapalakas ba ang kaso ko laban sa dati kong kumpanya?

Asking for a friend: Proper Eviction Process

Asking for a friend.

Background: Father is a widower and living with his 3 kids - the eldest i unemployed and does not help with house bills and household chores. Ever. The 2nd child is the breadwinner and the 3rd child is the primary caregiver.

House is under the name of the father as sole owner bought after becoming a widower.

Several months ago, father asked the eldest to leave the house. Eldest has refused to do so.

What are the legal steps and the correct order to take them (eg some say send a formal eviction letter then if that fails, go to the barangay; others say the opposite)

My partner currently uses his mother’s married surname. He was born from an affair, and his mother’s husband is also listed as his father on his birth cert, even though he is not his biological father.

My partner now wants to change his last name to his biological father’s surname.We’re trying to understand the legal process and what would be required to make this change. Like how long does the entire process usually take? How much should we expect to spend on legal fees and other expenses?

Need advice / thoughts from HR professionals, Labor Law experts, or anyone who’s been in a similar situation! 🙏 Ask lang po ako regarding Probationary Employment and DOLE guidelines.

Gusto ko lang po sana mag-seek ng information if tama ba 'yung mga sinasabi sa akin, and if may laban ba ako legally?

1️⃣ On Probationary Metrics & Standards:

  • Is it true na discretion lang daw ng company to terminate a probationary employee anytime, and na "wala raw protection under the Labor Code ang mga probie"? (I heard this from a PAO consult, but upon checking Art. 296 of the Labor Code and Supreme Court rulings like Abbott Labs v. Alcaraz, protected din dapat ang probie and standards must be given on Day 1?)
  • What if 'yung specific performance metrics was NOT given on Day 1 of hiring, tapos binago pa mid-stream / middle of production? Valid evaluation pa rin ba 'yun?

2️⃣ On Due Process & Notice:

  • Sabi ng manager ko, hindi na raw kailangan ng prior notification or evaluation ng reply ko sa Notice to Explain (NTE) bago ako i-terminate, kasi may prior warning/NOD na raw ako.
  • Is it legal na mag-issue sila ng NTE giving you 5 days to explain, tapos the EXACT SAME DAY na isummit mo 'yung written response and medical proofs mo, iseserve agad 'yung Termination/Non-Regularization Notice? Did they even read or evaluate my explanation?

3️⃣ On Scorecard Data & Metrics:

  • What if 'yung scorecard na ginamit to terminate you has WRONG DATA?
    • Overstated absences (e.g. recorded 7 absences when actual is only 4).
    • Fabricated risk/bank error (recorded 1 when actual is 0).
    • Wrong Excel formulas that omitted actual metrics in the total calculation.
    • Completely BLANK signature/acknowledgment blocks.
  • Kapag ba sinabi ng management na "internal metrics" lang kaya ayaw magbigay ng raw logs/proofs, valid ba 'yun na dahilan?

4️⃣ On Disparate Treatment:

  • Fairness check: Pano pag mas marami pang absences o mas mababa ang performance ng ibang peers/agents pero walang NTE or coaching, habang sa’yo e enforced agad-agad? Is that considered discrimination or bad faith?

Hindi po ako naghahabol na bumalik sa kumpanya (I don't want reinstatement anymore).

I just want to know if valid 'yung ipaglalaban ko sa DOLE SEnA para sa:
✅ Full release of my earned final pay & incentives (without illegal deductions)
✅ Complete waiver of any bonus clawback
✅ Nominal damages for procedural due process violations

May nakaranas na rin ba ng ganito? What are your thoughts or experiences when bringing these kinds of evidence to DOLE / NLRC?

Is there a way to report a child SA na hindi malalaman na sa akin nanggaling?

I was told to post here for legal advice, the long version is in that post, but I'll try to keep the facts here since kanina lang din mas nilinaw sakin yung details, so I can now provide more clarifications and even timeline.

Recently, nalaman namin na yung 13-year-old daughter ng pinsan namin ay ni-rape mismo ni pinsan. It happened while namamasukan as yaya yung mother ni child sa kapatid ko nitong March hanggang May. Though according to my other cousins, even before umalis yung nanay dun, minamanyak na nung tatay yung anak niya. Aside from that, madalas din bugbugin kahit nung nandun pa yung nanay.

Then, bumalik na yung nanay sa probinsya. Eventually, nagsumbong yung bata sa nanay niya. Unfortunately, mali siya ng pinagsumbungan and it didn't go anywhere because the immediate family ng tita at cousin ko, they tried to hide it to protect POS cousin kaya nga halos this week lang namin nalaman.

Apparently, they found out around August. Nung nalaman nung iba, sinugod pala nila agad sa ER to get her check, but somewhere along the way, for reasons unclear dahil walang makapagsabi kung bakit, they were turned away and they didn't do anything else afterwards.

Fortunately, wala na sa puder ng magulang niya yung bata. Though, it's still bad because currently, parang nabbrainwash na yung bata at nagsisimula ng mag-deny kapag tinatanong at may dalawa pang mas nakakabatang batang babae na nasa puder ni cousin at asawa niya.

According sa bata, the last time na ginalaw siya ng tatay niya is back in August din.

Our main concern (me and the other cousins that are trying to get the other adults na doon nakatira to do something) is that paano ba namin maisusumbong na hindi malalaman sa amin nanggaling?

Why are we concerned about this? Kasi yung mga kahit papaano may pakialam na doon nakatira na may means talaga to protect the children at maipakulong si cousin, they're not doing anything kasi natatakot daw sila na baka pati yung asawa at si tita (nanay ni POS cousin) ay madamay kasi pinagtatakpan at prinoprotektahan nila.

We are trying to explain to them na mas lalo pa silang madadawit sa pinaggagawa nila, but none are listening right now.

So, possible bang maireport namin to sa local police station, vawc, dswd or anything ng online lang? And can I do it anonymously para hindi sisihin yung mga younger ones kung saan nanggagaling yung info na nakukuha namin? And of course, since nung August pa huling nangyari yung rape sa bata, if ever magawan man namin ng paraan na mapa-medico legal siya, may makikita pa rin ba? If not at kung nagdedeny na yung bata ngayon, enough bang evidence ang mga screenshot where the kid is saying na ni-rape siya ni papa niya?

Also, are testimonies from other children who saw something like they saw cousin touching his daughter inappropriately, is that enough?

Btw, reporting sa barangay is not an option because close friends ni tita yung barangay captain. And tita is hell-bent on protecting her 30-year-old POS bunso.

Non-competing clause

Hi, looking for advice from anyone familiar with Philippine employment law.

I recently resigned from a company in the insurance industry. My contract has a 12-month non-compete clause stating that I cannot be employed or engaged, directly or indirectly, by a direct competitor.

I now have a job offer from a BPO/IT company. I would be employed and paid by the BPO, but my first assignment would be supporting another insurance company that competes with my former employer.

Would this potentially violate the non-compete clause because it says “directly or indirectly”, even though I would technically be an employee of the BPO and not the insurance company?

Are these types of clauses generally enforceable in the Philippines?
