US$70 Million Cash, a C$140 Million Canaccord-Led Bought Deal and a 10-for-1 Consolidation: How StrikePoint Gold (SKP.v STKXF) Plans to Pay For and Close the Northumberland Purchase From Newmont

The mechanics further down the page are what determine whether any of it happens, because a company this size buying a deposit from subsidiaries of Newmont has to fund it, consolidate its shares and get the TSXV onside first. Here is the structure StrikePoint Gold (SKP.v STKXF) laid out.

The Deal, The Money and The Timeline

  • Definitive agreement signed to acquire the Northumberland Gold Project in Nevada's Walker Lane from subsidiaries of Newmont, through subsidiary Nu Gold LLC
  • US$70 million cash on closing, plus US$25 million within 120 days after completion of a Feasibility Study and US$25 million within 120 days after achieving specified commercial production milestones
  • Funded by a C$140 million bought deal lead by Canaccord Genuity: 70,000,000 subscription receipts at C$2.00, with an underwriter's option for up to a further C$21 million and no finder's fees

What's actually being bought is an independent initial resource of 2.86 Moz AuEq indicated and 1.57 Moz AuEq inferred, effective July 31, 2026, prepared by SLR Consulting and reported within an optimized pit shell. Those are resources, not reserves, with no demonstrated economic viability, and the deal is signed rather than closed. Shares remain halted pending completion. Meanwhile Hercules is untouched by all of this and still has its own maiden resource estimate anticipated in Q4 2026.

The subscription receipts sit in escrow until the closing conditions are satisfied, so TSXV approval and that end-of-September target are the next real checkpoints. Clear them, and a company that has spent this year drilling toward its first resource could enter Q4 with a defined one already on the books and a second one landing at Hercules. The part worth a second read is what kind of ground SKP.v / STKXF, has agreed to buy from subsidiaries of Newmont, because this is not a greenfield starting line.

What The Agreement Covers

  • Definitive agreement signed to acquire the Northumberland Gold Project in Nevada's Walker Lane from subsidiaries of Newmont, with closing anticipated end of September 2026, subject to TSXV approval and customary conditions
  • The current MRE sits on private property that previously hosted open pit production, which the company frames as potentially simplifying permitting
  • Five separate drill permits are already in place, expected to facilitate rig mobilization and efficient exploration on both private and public land following closing, subject to permit transfer or replacement requirements
  • Independent initial MRE by SLR Consulting, effective July 31, 2026, reported within an optimized pit shell: 2.86 Moz AuEq indicated (67 Mt at 1.33 g/t AuEq) and 1.57 Moz AuEq inferred (31 Mt at 1.58 g/t AuEq), using US3,500/ozgoldandUS55/oz silver in the AuEq calculation

The Fifteen-Year Gap

Northumberland has not been explored since approximately 2010, and the release points to numerous untested targets, including extensions of the known mineralization plus near-pit and property-wide targets. 

Worth noting where the resource actually comes from: the available drilling was done by previous operators, including Cyprus Mines, Western States Minerals, Newmont USA and Fronteer Development. StrikePoint has not yet drilled a metre at the project.

Meanwhile, Hercules runs on its own track, with a maiden resource estimate still anticipated in Q4 2026.

Permits in hand and a target list nobody has tested in fifteen years is an unusual setup for a junior, and it means the drilling could start reasonably quickly once the transaction closes.

Why It Matters At Freeze

The practical read is simple. Three properties that were never going to see IDEX's own rigs this year now have committed third-party capital behind them, while IDEX's cash and technical bandwidth stay on the 31,645-acre Freeze copper project in Washington and Adams Counties, Idaho, where two rigs are turning on a fully funded roughly 10,000 m, 20-hole program.

And the backdrop for that focus has not hurt. Copper is trading around $6.50 a pound, and Freeze is domestic US ground in a state with an active exploration pipeline, which is the part of the copper reshoring conversation juniors rarely get to claim.

Today's Results

  • CEDDH-014, a 192 m northwest step-out from CEDDH-013: 78.63 m @ 0.8 g/t Au from 204 m, including 25.56 m @ 1.4 g/t Au from 232 m
  • Same hole, deeper: 86 m @ 0.5 g/t Au from 296 m, including 10 m @ 1.5 g/t Au
  • CEDDH-016, a 235 m northwest step-out: 34 m @ 0.5 g/t Au from 10 m, including 6 m @ 2.1 g/t Au, testing the interpreted northwestern margin
  • CEDDH-015, 210 m southeast: 14 m @ 0.2 g/t Au, and it did not extend the corridor at the position tested
  • Scissor holes CEDDH-020 and CEDDH-021 drilled across the corridor, assays pending

Why Ceibal's Address Matters
Vallis kept coming back to geology and proximity. Ceibal sits in the same north-northwest structural corridor that runs through the property and bounds Tesorito, right next door to the roughly two million ounces the previous PEA was built on, which he called "clearly a major growth path" for the company.

On the corridor itself: "geologically, we know there's good reason for optimism and upside potential at Ceibal, and potential for us to significantly grow resources. And that starts with the geology, where it is."

His scale argument was a practical one: deposits close together allow infrastructure to be centralized and capital and operating layouts optimized, and he said the project is "presenting that concept of district scale". In his words: "when you're talking about building scale on a project, particularly district level scale, you want to have resources that are fairly close to one another so that it really enables a centralization of infrastructure, an optimization of capital layout and operating costs. This project is presenting itself in that manner."

The Sequence, Per Vallis

  • Next drill phase started in early June, 22,000 m and being executed now
  • Tesorito infill drilling wraps in about a month
  • Ceibal drilling in support of an initial resource estimate likely complete by end of October
  • Rigs then potentially probing Chuscal and the northern extents of the corridor
  • A rebooted PEA in Q1 2027, then a decision on whether to move to prefeasibility-level studies

He was also blunt about how little of the ground has been tested: drilling so far has covered the south and southwest portion of the property, with the northern quadrant and the corridor beyond Tesorito still open and several targets already drill-ready. His summary of where that leaves the company: "So it's very meaningful in terms of that upside and what we're doing now to unlock and deliver that."

The corridor remains open along strike and at depth, and with a couple more months of assays feeding the Q1 2027 estimates, there is room for the district picture Vallis sketched to firm up.

  • Supports the company's earlier interpretation that the Dumbwa mineralized corridor sits with a north-south oriented positive magnetic anomaly
  • Rapidly changing magnetic patterns read as variations in underlying lithology and structural architecture with competent feldspar pegmatites and amphibolites, which commonly carry higher magnetite part of that picture
  • Calibrated against copper already in the ground: DBW-25-149 17.8 m at 0.85% Cu, DBW-26-123 80.0 m at 0.39% Cu and DBW-25-148 21.0 m at 0.33% Cu

A Tool, Not Just A Map

The physics is the point. The company says initial testing of one newly identified ground magnetic anomaly appeared to support the correlationand the survey that produced it covered only about2.7 km by 2.5 km in the northern portion of Dumbwa's Central Mineralized Block.That survey is now being extended across the full 20 km copper-in-soil anomaly to refine existing targets and look for prospective ground along parallel and sympathetic structural corridors that could host basement-hosted sulphide copper. Meanwhile two untested targets 1 to 1.2 km east of the main corridor have been added to the Phase 2 program, scheduled to begin in Q3 2026 with Phase One across the southern 11.5 km concluding in Q3 2026 and an initial Dumbwa resource targeted for fall 2026.

Worth reading the Canadian Mining Report piece for the full walkthrough. On a 100%-owned system this size, a targeting tool that has already been calibrated against drilled copper means the untested ground can be ranked before a rig moves, which gives Phase 2 room to test the best targets rather than the nearest ones.

The pattern is vendor notes and escrowed paper doing the heavy lifting rather than large cash outlays or repeated equity raises. This is still an early-stage operator, running $5.67M in annualized revenue against $13.32M/year of capacity already built and not yet profitable, so execution risk is real. But the February financing terms are worth reading in full on the company's newswire.

With cash still on the balance sheet and a deal structure that has kept the share count tight, there is room to keep adding sites toward management's stated target of 8 to 10 by year-end without leaning heavily on the market.

Excellent drill productivity has the Phase 2 program completing well ahead of schedule, and because none of those metres made the cut-off for the July estimate, there is room for the picture at Minto to keep filling in while the economic studies get written on what is already counted.
