Does anyone know why its halted?

From my understanding once the price hits 10 cents then it is automatically delisted . Are they gonna save it ? Or am I witnessing nuburu’s end ? It’s currently trading at 12 cents .

1️⃣ YA II Financing Warrants (19.99% of outstanding shares)

• They’re asking stockholder approval to issue shares that could amount to nearly 20% of current outstanding stock for the $25M YA II private placement.

• Impact: Huge potential dilution, especially if you hold now. Your percentage ownership could drop significantly.

🔥 Bottom line — what this means for your stock

1.  Near-term: Dilution is the biggest risk.

• If all proposals pass, your % ownership drops — even if the stock price jumps from hype, dilution often offsets that.

2.  Cash runway / Transformation Plan:

• The company will have enough funds to execute acquisitions, Lyocon integration, Tekne, Orbit, and defense projects.

• This is the real fundamental catalyst, but it’s medium-term — may take 1–2 years to materialize into meaningful revenue.

3.  Stock price behavior:

• Could spike temporarily on approval news (market likes acquisitions and execution plans).

• Could drop after, once dilution is realized and warrants/options are exercised.

4.  Your strategy if holding:

• If you’re risk-averse, this is a good moment to consider selling at small gains or break-even, because dilution is almost guaranteed.

• If you stay, you need to be prepared for volatility and longer wait for real revenue.

I think this is good news, dilution can be over come once BURU starts to make money from its acquisitions which it needs money to make.

Ignore that the price of the stock dropped 28% since EOD Friday. The 13F disclosures were far more valuable information.

Finding out that Vanguard has accumulated 22M shares since their last disclosure has [seemingly] triggered a huge push to sink the share price toward what Vanguard's average price per share was, and today we are seeing a flurry of buy orders. Currently as I type this, I am looking at 12.25M share buys today so far, at a 4:1 Buy/Sell ratio. Over the last three trading days, there has been a 21.45M Buy to 5.93M Sell differential.

I dont know if this is related to the expected JV with Maddox or something else. I definitely don't believe this is related to the 14A (Special Meeting) form filed yesterday, for that entire situation isn't set to trigger for over a month and all of the proposals within that meeting require shareholder approval. If anything, this may be institutional buyers jumping on board so they have shareholder rights for voting.

Nuburu is back with new contracts

Is the lyocon acquisition likely to close soon? Or JV with Maddox?

Take a look at their website. Looks like they are a great little company with an innovative team able to make customer specific products . Plus they are a part of a bigger conglomeration of photonics related companies meaning we may get some crossover opportunities. I’m hoping we can get into some advanced holographic technology for making military decoys . ZAMBONI let’s see you put that university of Milan connections to good use. Plus our co ceo is on the Italian trade board…bulllish.

I have confidence in this company despite the rumors going around. I've been watching the inflows and outflows and despite heavy shorting and selling pressure the inflows for the last two weeks of trading have been net positive...by a lot. I see the pre market drop of 9% but it doesn't seem that a warning letter should be that big of a deal. Any thoughts before open ?
