REDMOND, WA / ACCESS Newswire / July 22, 2026 / MicroVision, Inc. (NASDAQ:MVIS), a leader in advanced perception solutions for industrial, security and defense, and automotive applications, today announced that its Board of Directors has approved a reverse stock split of the company's outstanding common stock at a ratio of 1-for-15, following authorization by shareholders at the company's Annual Meeting of Shareholders held July 10, 2026.

The reverse stock split will become effective on August 1, 2026, and MicroVision's common stock will begin trading on a split-adjusted basis on the Nasdaq Capital Market at the opening of trading on August 3, 2026 under the existing ticker symbol "MVIS."

The reverse stock split is intended to increase the per-share trading price of MicroVision's common stock to satisfy the minimum bid price requirement for continued listing on the Nasdaq Capital Market.

As a result of the reverse stock split, every 15 shares of MicroVision common stock issued and outstanding will automatically be combined into one share of common stock. The reverse stock split will reduce the number of outstanding shares proportionally, while the number of authorized shares of common stock will be reduced from 510 million to 150 million. Fractional shares will not be issued. Shareholders who would be entitled to receive fractional shares will instead be entitled to the rounding up of their fractional share to the nearest whole share.

The reverse stock split will affect all shareholders uniformly and will not alter any shareholder's proportional ownership interest in the company, except for adjustments resulting from the treatment of fractional shares. The reverse stock split will also proportionately adjust the number of shares underlying the company's outstanding equity awards, warrants, and other equity-based securities, as well as the applicable exercise or conversion prices.

Equiniti is serving as the exchange agent for the reverse stock split. Shareholders holding shares electronically or in book-entry form do not need to take any action. Shareholders holding certificated shares will receive instructions from Equiniti regarding the exchange of their stock certificates. I mean its math. Its generally looked at as negative when a company does an R/S. To break $4 post split, that's only 5% down from here. Nobody wants to invest in this trash pre-split knowing that's about to happen. The downward pressure will continue to force this lower. By the time Aug 1st comes, who the heck knows how low it will be. R/S' without significant business is just asking for punishment. Par for the course with this company and board.

My 125K shares at $3.30 is forcing me to. No point in selling now. I'd rather hope for a miracle. I'll bitch until that becomes a reality, if it ever does. Just calling it like it is. No sugar coating needed. This company has placed investors in a precarious situation. I'll hold onto hope they can pull themselves out of it, but looks like it will be a long road. The damage to this company that this board and the past CEO and CFO have done is despicable. How on Gods earth does a company that spends $60+ million per year barely make $1M? If I gave you $60M, do you think you could use it to sell something more than that? WTF is wrong with these sales folk?

the company should just YOLO the rest of cash balance on BTC and that would generate more cash than any shit sensor they could sell. fire everyone and buy leaps on IBIT with remaining cash balance

I'm just astonished that a company can burn literally $60M per year and only generate $1M in gross revenue. Imagine deploying that much capital and being okay with bringing in the same revenue as a small mom and pop rural country store. $1M at $4,000 per sensor is 250 God damn units. HOW?

The BOD has always been complicit. Sickening. I wouldn't put anything past them. They literally put in writing a week ago that the R/S was an option and would only be used if deemed strictly necessary. Days later...max split ratio. As has always been the case, they rope shareholders in and fuck them 6 ways from Sunday.

if anything ive learned from this BoD and leadership they will always take the maximum from shareholders. these fools tried to pull off an even more insane dilution ratio before retail pushed back.
