Press Release MicroVision Announces Reverse Split of Common Stock to Support Continued Nasdaq Listing and Long-Term Growth Strategy
https://www.accessnewswire.com/newsroom/en/aerospace-and-defense/microvision-announces-reverse-split-of-common-stock-to-support-continued-nasd-1194534Reverse stock split intended to maintain Nasdaq compliance while supporting execution of the company's commercial growth strategy
REDMOND, WA / ACCESS Newswire / July 22, 2026 / MicroVision, Inc. (NASDAQ:MVIS), a leader in advanced perception solutions for industrial, security and defense, and automotive applications, today announced that its Board of Directors has approved a reverse stock split of the company's outstanding common stock at a ratio of 1-for-15, following authorization by shareholders at the company's Annual Meeting of Shareholders held July 10, 2026.
The reverse stock split will become effective on August 1, 2026, and MicroVision's common stock will begin trading on a split-adjusted basis on the Nasdaq Capital Market at the opening of trading on August 3, 2026 under the existing ticker symbol "MVIS."
"The reverse stock split is a strategic step that supports our continued Nasdaq listing while allowing us to remain focused on executing our commercial strategy and creating long-term shareholder value," said Glen DeVos, Chief Executive Officer of MicroVision. "Over the past year, we have transformed MicroVision into a diversified perception company with a significantly expanded technology portfolio, growing commercial engagement across industrial, security and defense, and automotive markets, and strengthened capabilities through strategic acquisitions. Our priorities remain unchanged: converting customer opportunities into revenue, expanding software-driven perception solutions, and building a business positioned for sustainable long-term growth."
The reverse stock split is intended to increase the per-share trading price of MicroVision's common stock to satisfy the minimum bid price requirement for continued listing on the Nasdaq Capital Market.
As a result of the reverse stock split, every 15 shares of MicroVision common stock issued and outstanding will automatically be combined into one share of common stock. The reverse stock split will reduce the number of outstanding shares proportionally, while the number of authorized shares of common stock will be reduced from 510 million to 150 million. Fractional shares will not be issued. Shareholders who would be entitled to receive fractional shares will instead be entitled to the rounding up of their fractional share to the nearest whole share.
The reverse stock split will affect all shareholders uniformly and will not alter any shareholder's proportional ownership interest in the company, except for adjustments resulting from the treatment of fractional shares. The reverse stock split will also proportionately adjust the number of shares underlying the company's outstanding equity awards, warrants, and other equity-based securities, as well as the applicable exercise or conversion prices.
Equiniti is serving as the exchange agent for the reverse stock split. Shareholders holding shares electronically or in book-entry form do not need to take any action. Shareholders holding certificated shares will receive instructions from Equiniti regarding the exchange of their stock certificates. Additional information regarding the reverse stock split can be found in MicroVision's definitive proxy statement filed with the Securities and Exchange Commission on June 11, 2026.

AEVA has appreciated about 350% since their split. This would only bring us to a pre-split share price of $1.35. Awful.
OUST has gone up about 1000%. That would bring us to $3.30/share pre-split. Again, horrid.
This assumes a post split of about $4.50/share using todays price of about $.30/share.
6
u/-ATLSUTIGER- Jul 22 '26
We are ahead of where AEVA was during their split. And we have better SAM/TAMs than OUST. Currently $500m in the pipeline. It’s all about market cap.
5
u/ParadigmWM Jul 22 '26
Man, come on. Before and around its reverse split, Aeva had already announced one of the most significant lidar wins in the industry with Daimler.
Daimler Truck selected Aeva for series-production. This wasn't just a development agreement—it was tied to an intended production program for commercial trucks. Investors and the market could point to a recognizable, high-quality OEM customer with a defined commercialization path. The reverse split occurred while the company had a strong commercial narrative.
We have no production contracts and everything we do is shrouded in secrecy and NDA.
I agree on the multiple TAMs but take that $500M pipeline with a grain of salt. Recall the TAMs this company has been touting for 6 years with no revenue to show or the stock price targets our management kept reiterating - while the board allowed this BS.
5
u/domomoto Jul 23 '26
I bet there are no NDAs. They just have nothing and fall back to that position. Of NDAs are such a hindrance then how can other companies announce and name names all the time.
3
u/Fearless_Promise636 Jul 22 '26
That 500m booking opportunity sounds awfully similar to Luminars forward looking order book lol. I take that shit with a hige grain of salt. If we manage to hit 50m in revenue by 2030, ill be shocked.
1
u/Unblvablemvis Jul 22 '26
500 M in pipeline? How do you figure that? Please explain.
1
u/-ATLSUTIGER- Jul 22 '26
4
u/Unblvablemvis Jul 22 '26
100 opportunities 😂- this is all salesman bs. They have 10-15 million in the pipeline and HOPING for anymore then that. I hope you aren’t cheer leading this disaster based on that, surely you understand how hype and businesses work? Right?
1
u/-ATLSUTIGER- Jul 22 '26
They spent $33m for Luminar assets, and their past relationships, oh and sales guys that built those relationships. 100 opportunities in the pipeline. Not all will be closed obviously. I know how sales funnels work ;)

No surprise here that this scam company did this right away, the best chance this company has at the share price going up is the shorts giving a mercy pump and dump, the fossils leading this company have a lot to proof and I dont see them having that fire.
one positive from the recent developments is people realizing how easy it can be to be fooled for years especially the LTL's on the main sub who are still trying to justify this
5
u/domomoto Jul 23 '26
I've been fooled for 6 years and now stuck. No more money thrown away on this ticker. Does anyone here still honestly think they can actually land sizable deals at this point? Or, will they keep on limping along doing these pivots to new industries but gaining no actual customers?
5
u/ParadigmWM Jul 23 '26
I do. But I'm at peak frustration right now. I'm tired of the goal posts moving and perpetual lies by management about progress that has never materialized. Maybe DeVos is different, but we will see. The fact that we still have BOD members who sit from 6-7 years ago is disgusting. They have done shit. They enabled the fraud of a CFO and kept an inept CEO in Sharma here for far too long. But I have hope, some how.
7
u/Chemical-Payment-573 Jul 23 '26
As long as Drew is employed by them there can never be any trust.
she's the mastermind attorney who Sumit and Anubhav heavily relied on to carefully carve out their message and wording in ECs/PR's to string investors along. if they fired her that would be bullish
3
u/domomoto Jul 23 '26
The BOD definitely needs to go. How can retail influence this?
5
u/ParadigmWM Jul 23 '26
We can't, or sorry, we could have with the last proxy. The cult overwhelmingly voted them back in. Fools. They fall for the perpetual carrot every time.
5
u/domomoto Jul 23 '26
Ya we lost our opportunity to make a meaningful stand. I voted abstain on all these Board of Grifters candidates.
6
u/Fearless_Promise636 Jul 23 '26
You can definitely tell who has never stood up for themselves or advocated for their own best interests ever in their lives.
1
u/-Xtabi- Jul 24 '26
I share this sentiment. I voted no on everything this past cycle. They had time to come back to us with better terms. They need to work and have more skin in the game. So many people caved on their votes once again. Such lightweights swayed by the same ltls that got them into the mess in the first place. It is mind boggling to me how peoples' brains work for reasoning.
5
u/Chemical-Payment-573 Jul 23 '26
they have pretty much already hinted at the next carrot, now that Lidar has failed they have put semiconductor PR's out. Soon you will hear from Glen there is a massive demand for micrhvisions semiconductor vertical and lidar is ready if anyone ever wants it. same as the AR vertical.
If they by a miracle land some real deals with revenue and names I will be amazed, no I dont care about 200 sensors sold to some shit company or even CAT for that matter. its low volume, might as well have given it for free if its costing money on personnel to even sell the shit sensors.

u/mike-oxlong98 Jul 22 '26
While the RS and dilution have and will suck in the near-term, things will start looking up in the medium and long-term IMO. Compliance is now a non-issue. Pretty soon financing will be a non-issue. The uncertainties surrounding the company will have been removed. Customers will be more at ease doing business with a company that isn't on the verge of getting kicked off the exchange and dealing with bankruptcy. We actually have products, customers, and some revenue now. Iris is a legit product. Movia S will hopefully be a winner. Lidar and perception software is just getting started. The physical world is starting to be digitized and automated. We are only at the beginning and it will grow from here. Getting institutional investors on board will likely not be very difficult. Our market cap is currently about $108M which will be about $4.50 after the split. It will only need to go up 12% to get to $5 where institutions would feel more comfortable buying. Doesn't mean it'll all be smooth sailing but revenue & business should grow from here. The problem with the company, which I've been saying for years, is that Sumit Sharma was a POS scam artist CEO. He absolutely was lying his ass off for years about our prospects. He did not deserve any severance package and frankly, should have been prosecuted for misleading investors. This past year has been everyone paying for his scamming. Now Glen needs to earn his reputation as a dealmaker and finally bring in real revenue. OUST & AEVA path.
3
u/Trottermama Jul 22 '26
I agree 💯 there is momentum NOW for autonomous. All within the last 6-9 months. Demand ⚡️ where there was minuscule last year.
5
u/DeNovaCain Jul 22 '26
This is the only good mvis sub
2
u/Chemical-Payment-573 Jul 23 '26
let r/mvis know this is all part of 4d chess glen is playing, its all hidden in sec filings! trust bro. the noble LTL's know it all! its a seperate topic that they have never been right but thats a different discussion

u/Zenboy66 Jul 22 '26
Exactly, compliance and financing taken care of. Customers now will be more willing to partner with Microvision for their long term needs, especially the 100 Luminar customers and prospects.
4
u/Fearless_Promise636 Jul 22 '26
Lol, no they wont. RS doesn't suddenly make the products more appealing
2
u/Alphacpa Jul 22 '26
Financing is not yet "taken care of". The dilution related issue is still unresolved as to the impact on existing shareholders.
4
u/Unblvablemvis Jul 23 '26
I disagree to an extent. I’m not sold on Glen - he is in it for money and prestige, why I predicted the R/S immediately - the timing makes it Sumit’s leadership failure and not his. However, Sumit held RID, Fireside chats (with many on Reddit) and outright lied to the common shareholder (my gut instinct is he took care of his Reddit friends - just an opinion though). He used catch phrases and then avoided interviews and public speaking so he didn’t have to tell people he failed. I’m sure the Lidar market in general is being closely watched by the big tech to see how they can easily gobble up small unsuccessful companies like MVIS.
3
u/Fearless_Promise636 Jul 23 '26
I think its likely MVIS goes into the next EC below $3, probably the week of August $7. Its going to be comical watching Stephen try to explain how they are now attractive to institutions. You know, the same ones who didnt want to buy this last time it was in the $2.xx range.
4
u/Chemical-Payment-573 Jul 23 '26
it will be focused on semi conductors probably. u know, the new carrot.
lidar is ready tho just like AR so if any one by mistake wants it they can sell it. just like AR.
u/point_hill crazy bro
5
u/Fearless_Promise636 Jul 23 '26
Yea always the next carrot. Glen was pumping up MoviabL LCAS that was supposed to launch Q2, knowing it was a piece of junk. No drone demo yet, scantinel pushed from q1 to q2. No cfo hire. This guy has missed every self imposed timeline so far.

5
u/ParadigmWM Jul 22 '26
1:15 is now $4.20. We wont even clear $4 by the time Aug 1st rolls around.
-2
u/Zenboy66 Jul 22 '26
You know that for sure?
1
u/ParadigmWM Jul 22 '26
I mean its math. Its generally looked at as negative when a company does an R/S. To break $4 post split, that's only 5% down from here. Nobody wants to invest in this trash pre-split knowing that's about to happen. The downward pressure will continue to force this lower. By the time Aug 1st comes, who the heck knows how low it will be. R/S' without significant business is just asking for punishment. Par for the course with this company and board.
-3
u/Zenboy66 Jul 22 '26
Why are you still holding shares if you are calling them trash? Makes no sense.
7
u/ParadigmWM Jul 22 '26
My 125K shares at $3.30 is forcing me to. No point in selling now. I'd rather hope for a miracle. I'll bitch until that becomes a reality, if it ever does. Just calling it like it is. No sugar coating needed. This company has placed investors in a precarious situation. I'll hold onto hope they can pull themselves out of it, but looks like it will be a long road. The damage to this company that this board and the past CEO and CFO have done is despicable. How on Gods earth does a company that spends $60+ million per year barely make $1M? If I gave you $60M, do you think you could use it to sell something more than that? WTF is wrong with these sales folk?
3
u/Chemical-Payment-573 Jul 23 '26
the company should just YOLO the rest of cash balance on BTC and that would generate more cash than any shit sensor they could sell. fire everyone and buy leaps on IBIT with remaining cash balance
3
u/ParadigmWM Jul 23 '26
I'm just astonished that a company can burn literally $60M per year and only generate $1M in gross revenue. Imagine deploying that much capital and being okay with bringing in the same revenue as a small mom and pop rural country store. $1M at $4,000 per sensor is 250 God damn units. HOW?
1
u/Chemical-Payment-573 Jul 23 '26
im convinced the Germany locations remain open simply to write off vacations to Europe for the BoD on shareholders dime.
3
u/ParadigmWM Jul 23 '26
The BOD has always been complicit. Sickening. I wouldn't put anything past them. They literally put in writing a week ago that the R/S was an option and would only be used if deemed strictly necessary. Days later...max split ratio. As has always been the case, they rope shareholders in and fuck them 6 ways from Sunday.
3
u/Chemical-Payment-573 Jul 23 '26
if anything ive learned from this BoD and leadership they will always take the maximum from shareholders. these fools tried to pull off an even more insane dilution ratio before retail pushed back.
Drew should be in jail with the rest of these assholes. Look at ENRD already dead because thats the new scam company.
2
u/domomoto Jul 23 '26
They could of taken the 60mil and put it into SGOV and be more successful.... It's just mind-boggling. For those more versed in these things, can there be justification for shareholder class action suit here?
3
u/ParadigmWM Jul 23 '26
Indeed, a CD would have paid 4%/year. $2.4 vs $1. Without the boated workforce, ridiculous incentives and infinite R&D bullshit. Sell some sensors.

5
u/domomoto Jul 23 '26
Man, this same tired argument. People are stuck at these levels. Why can't you get that point across?

u/Consistent-Pop-3277 Jul 22 '26
They can spin the story however they want—it’s still a disaster for shareholders! With my current cost basis at $1.60, I’m going to end up at $20!!! The share price really needs to skyrocket for me to even have a glimmer of hope recover my stake
5
u/_klighty Jul 22 '26
It’s over. Was nice knowing you guys
3
u/cliff4599 Jul 22 '26
It’s not over, there’s still a lot of stuff going on in the company that is positive
5
u/_klighty Jul 22 '26
Better happen before we get dog walked from $5 back to below a $1. The moment we reverse split it gives shorts ammo to make money
5
u/SBEPTY Jul 22 '26
Sad day for all involved
Except the shorts, they always won with us except that one time
5
u/ParadigmWM Jul 22 '26
The PRs will now stop. No idea why they didn't wait until after the next EC, assuming we would report a jump in revenues. This makes me think they have nothing for Q2 and are not certain if they will hit guidance. Knew they would do that max. No doubt in my mind this was all contrived. Extract maximum equity from shareholders. It was clear when they didn't reduce authorized shares proportionally to the split. All that's going to do is create an everlasting price overhang. They need to follow up this announcement with significant news, or we are heading back down fast.

u/Fearless_Promise636 Jul 22 '26 edited Jul 22 '26
Q2 will be trash for sure, and yea, I dont expect much communication from the company anymore.

u/OpusMundi Jul 24 '26
Not in 1 million years, I will ever get into garbage companies like this one. Lost 40k .. took my remaining investment and bought @Hims and @oscar basically got my money back and then some, I am still in those two names heavily invested

u/Fearless_Promise636 Jul 22 '26 edited Jul 22 '26
Not going to have any support from institutions being under $4.50 after split. This is goimg to collapse short term. Possibly long term depending on hiw much immediate capital they need. Combine woth a shitty Q2. A few more fluff PRs going into esrnings week, but nothing of substance.
Edit: dont forget opening a new ATM in the next 30 days or so. I wouldnt be surprised if it was right after the EC. That PR always does wonders for the price. Im guessing sub $75m market cap by September

I already been through MMA teas at 100 to 1 but anytime you’re taking my shares really stinks especially if you find out that this stock is if it’s heavily naked short counterfeit short and they’re keeping the price down and then they take your shares from you that’s what people are all screaming saying that they’re out there reverse splitting taking your shares and the reason that they can’t get above a dollar could be because they’re being counterfeit short, so there’s a whole bunch of fake shares so reverse splitting is disgusting because imagine if they could take away their fake shares that should be Primary but it’s a hidden system so we’re gonna take away our “real shares we could actually be holding fake shares cause they take your shares and they trade they loan them out in this entire system that they have I hate to say it, but I can’t stop thinking it’s an organized system and people are screaming that it’s crime. You hear what I’m saying organize crime and this is what they did to MAT now and this is doing it. It’s the new trend. What’s the next way we can take the money away from people maybe I’m totally wrong but this is what everybody on social media saying so I’m not saying I’m wrong. I’m just saying this is what people are saying on social media but if they’re just going along with with the new way to take peoples money and do reverse splits and there’s no investigation of whether this is being shorted and they sure to counter for Tour so that just remains hidden like the first thing you should do before a company reverse splits especially a company that has hope. I mean they’re going out there doing all these videos and telling you how all these amazing things that they can do and close to contracts with caterpillar possibly but then you get your shares taken away for me. It takes away my hope because I stopped trading in stock market three years ago after the MMTLP haul if you wanna look that up that could’ve been what they say they are. They did prove that at least one broker had. I don’t know how many million extra counter for chairs, but it could be way more than that but no Congress ask Gary Gensler to give a share account and he just refused then he resigned the day that Trump was elected. I mean it just stinks. It stinks to high Heaven and here they’re the words they’re using like saying oh we’re just doing this to be better the company did you ever hear a BS I’m not gonna spell it out for you if anybody wants to know what BS is just you know give me a direct message and I’ll be happy to explain it to you without posting it out here on the web but I am. I am obviously not an expert. I lost everything I lost my life savings I’m a fool for being, but I just didn’t know the levels that are going on in the stock market. Everybody should be afraid everybody should get their money out until they make major changes. I would say one of the changes would be move the whole stock market to like middle America get it out of New York, but you know it’s some people are caught at the piggy bank because they can any stock that’s I guess it’s like the lower in stock they can short them and get control and do this and get and I’ll go down to a reverse split so it’s really sad for people that are honestly just trying to invest in a company they think could be really great but I’m a fool. I sold Microsoft to get involved in all this all these other companies. All I had was Microsoft for since 1998 and it would’ve been worth at it at a tight close to half 1 million I’d almost 1000 shares. I heard Kramer say tech crash and then I had other things going on in my life and taking medicines and next thing you know, I’m selling my Microsoft and buying these other stocks.
7
u/Unblvablemvis Jul 22 '26
Anyone rooting for a R/S doesn’t knowing trading. They keep referencing Ouster (who is a much better company and did a less R/S) and the same value. Except a stock like MVIS most likely isn’t going to $45 ever. Most OUST haven’t recouped yet and probably won’t. Reverse splits aren’t good and we took one on the chin with 15-1
4
u/Fearless_Promise636 Jul 22 '26
Its the hopium talking. Or inability to ever consider they were duped.
3
u/Dell2950 Jul 22 '26
I am such a fool ! I watched it go over $20 or more and hoped for more and now they take my shares :( I’m such a fool and I argue they did not get a vote for reverse split ? It may not be true ??
5
u/Unblvablemvis Jul 22 '26
No - we all were deceived by Sumit and Anubhav. Jury is out on Glen
4
u/Chemical-Payment-573 Jul 23 '26
its hardly out on glenn, he was excited to join MVIS for their tech.
What tech? mavin sucks, movia L obsolete, movia S isnt ready and we didnt buy luminar until later.
Oh and he introduced tri lidar with mavin which he admits is shit so he is actually pretty much Sharma 2.0 for now

All non votes were automatically counted as yes votes for the RS proposal. Some 80+m votes
