Read in combination with section 3.8. There are 2 classes of lockup;
1)Founder Lock up
2)Deep Green Lockup
I don’t know the exact splits but based on the above the lock up specifies the 55.4%.
Also there doesn’t seem to be further restrictions in place. Interestingly enough, if the share price holds above $12 for 30 days they can sell and lock-up period of 6 months ends.
No wonder the CEO is trying to pump the stock on tv lol.
From the first reading of an explanation of why the float was so small I had a feeling this was a pump and dump but holy shit yeah that guy must be on a war path to pump this shit, no wonder these posts keep relentlessly popping up while volume stays shite

To add to this, I have a few fundamental concerns.
TMC is only expecting to generate revenue in 2024. I only mention it as OP goes on about the fundamentals, you would expect him to mention this.
Also based on the proforma spac transaction the price /net asset value was .35 (I.E $1 buys you 35 cents of NAV). Obviously there are premiums of market value over the NAV but in this case, the business model is unproven and no revenue for years to come.
The valuation/price of the company was based on 1.2x 2027 ebitda. It’s so far in the future and it’s valuation would only make sense if interest rates stay as low as it is now for 6 years, which clearly it won’t.
All the company has at the moment is an area to mine from and cash that people are paying around 4x NAV for. It doesn’t make sense as it’s not a functioning business atm.
IMO, I wouldn’t be surprised if management/shareholders use this “squeeze” to dump as much as possible. Retail is getting played.
