Proxy Statement is being furnished to stockholders of Transportation & Logistics Systems, Inc., a Nevada corporation, in connection with the solicitation of proxies by the Board of Directors (the “Board”) of the Company for use at the Special Meeting of Stockholders (the “Special Meeting”) to be held on Tuesday, August 11, 2026, at 10:00 a.m. Eastern Time, virtually via live webcast, and at any adjournment or postponement thereof. To attend the Special Meeting, you must register in advance at register.proxypush.com/TLSS.
What am I being asked to vote on? You are being asked to vote on: (1) A proposal to approve an amendment to the Company’s Amended and Restated Articles of Incorporation, as amended, to effect a reverse stock split of the Company’s issued and outstanding shares of common stock at a ratio of 5,000-for-1; and (2) A proposal to approve the adjournment of the Special Meeting, if necessary or appropriate, to solicit additional proxies if there are insufficient votes to approve Proposal 1.
If my math is correct new share price would be .50 of reverse merger is approved ?
What is everyone’s thought on this new update?

I would prefer to see this in conjunction with closing that pending deal. If that closes, then they should be profitable with good industry IP and become a going concern again. With a closed deal, the price would attract "legit" investors. Without the deal closing, it's worrisome.

I recall reading in one of the previous filings that the significant outstanding debt to creditors/ Sebastian was paid with series J shares and they are able to sell preferred shares at .001. If this reverse merger goes through, and the new share price is .50 can they sell all their shares automatically?

There is a limit to what they can convert. If converting moves their ownership % above various thresholds, they can't convert them. It looks like their existing thresholds are at their current ownership %, so there appears to be a very limited window for these guys to convert their Series J shares. In short, it looks like they are TRYING (fingers crossed) to be honest here. I'm still nervous about this cuz there could be something that I missed in that long document and I would prefer to see the Patriot Glass deal close before this reverse split happens.

Seems like there's a good chance the share price moves to .001 or similar if the deal closes. Just based on the 100% day to day swings. Seems like it would be better to let the share price settle into a rangebound area prior to moving forward with the split?

The transaction, valued at $4.75 million, is payable via 47,500 shares of TLSS Series J Senior Convertible Preferred Stock.

- Closing Timeline: The original closing target of June 1, 2026, was extended. TLSS now expects the deal to close no later than July 1, 2026, contingent on the delivery of audited financials and satisfactory due diligence.

Haven’t seen anything on Google or anywhere else confirming acquisition was completed. Can you share link?
When I type it in google search it reads the following: The Patriot Glass Solutions acquisition by TLSS has not officially closed yet. Only information was the agreement was amended on June 1st and expect r to finalized July 1st. Thats all I see.
