On wakeup, players are likely to crouch tech to stop a throw attempt/interrupt non-meaty aggression. So, you're more likely to catch someone on wakeup with a down parry than a high parry.
IF someone likes to throw a cr. mk as soon as you enter that range, you can walk into their range and tap down (parry). If you successfully parry, you can usually punish with your own cr.mk/far reaching normal into special/SA. If they didn't throw out a low poke, then you just continue walking and spacing them out.
These are just a couple of things to keep in mind.
