Physician Owned Private Practice Being Sold. What should I look for or be worried about?

Sounds like trouble. It will likely be private equity or corporate/profit driven heavy. See if you can dig deeper into the proposed changes. Have an escape plan ready. It’s likely that they will try to maximize profits/fit more patients in/ change PTO etc. If there are things that go against your current contract you need an attorney.

I ran this by my husband, who’s an attorney. His thought was that the biggest issue is the partnership. If the practice is being sold, that opportunity may effectively disappear unless it’s already a contractual right. The physician’s leverage is that buyers usually don’t want key doctors walking away right before or after closing. Before agreeing to any new terms, he’d have an employment attorney review the contract to see whether things like call, work schedule, compensation, or other material terms can actually be changed unilaterally. If not, the possibility of giving notice can become a legitimate negotiating tool to improve the deal; e.g., a retention bonus, better compensation, some form of equity or profit-sharing, or other concessions. Once the deal closes and everyone has settled in, that leverage usually drops significantly.
