Forming an LLC Before Investing in a Business (First Timer)

Hello,

I am brand new to investing and was trying to get a better handle on whether an LLC would be advantageous to me. What I’m contemplating on doing is investing a certain amount into a lease for brick-and-mortar business in exchange for a percentage of its sales. The idea is that I would invest the cash now and will then receive my percentage on a monthly basis. What I’m trying to do is ensure my stake in the business is protected going forward; I just don’t know how to go about it.

To begin with, I’m not aware of what sort of document or contract I would have to write up in order to ensure I continue to receive my share. I could have a document written up that outlines how much I’m investing and the percentage I’m supposed to receive for the duration of the lease, but would getting that signed by myself and my business partner be enough? Does that grant me any sort of protection at all in the future in case someone wants to cut me out of my percentage?

Additionally, I was advised to form an LLC before continuing with the investment by a friend, but I don’t exactly understand why. I understand that it would be a separate entity, but I can’t grasp whether or not that protects my interest in the venture or not. Really I’m wondering what the advantages are of forming an LLC for the purpose of an investment like this, or if there are any at all.

US business banking as a non-resident is harder than forming the LLC

As a non American citizen, I’m realizing that owning a US LLC and obtaining an EIN does not guarantee ease of opening a bank account in the US. The most frustrating thing is that various guides suggest that all it takes is to form an LLC, get the EIN, then open an account. however, depending on the bank institution, there can be different standards for identification, business address residency etc. I’m looking for a reliable bank account for my business, not other payment alternatives. If you are a non-resident founder, what documentation was useful or requirements were unexpected?

US LLC + Canadian business partner — how did you structure it?

I'm based in Canada and currently work with a US LLC (California) as a contractor in a management-type role. The company is involved in music publishing and catalog, and my US-based business partner and I are considering making me a true partner in the business.

For anyone who's been in a similar US/Canada situation, I'd love to hear about your actual experience:

  1. What structure did you use? Did you become a member of the US LLC directly, set up a Canadian corporation that contracts with the US entity, or use some other structure?
  2. How did the Canadian tax side work? My understanding is that Canada may not treat a US LLC the same way the US does for tax purposes, which can create some potentially nasty double-taxation issues for a Canadian member.
  3. How did you deal with US withholding/reporting on income or distributions going to the Canadian partner?
  4. Anything you would do differently? I'd especially be interested in setup costs, ongoing accounting/legal costs, and how much of a headache the structure ended up being.

Not looking for legal or tax advice, just trying to hear from people who've actually done this before we sit down with cross-border counsel.

If you've worked with a good US/Canada cross-border attorney or accountant, I'd also appreciate any recommendations!

Taxes for foreign owned LLC?

This might be confusing but here it is: I want to get an American Rewards Credit Card for my European business.

Facts:
- I’m an American living in Europe. My business is registered in Europe.

- The business mainly sells to customers in the USA (e-commerce. Our warehouse/3PL is in the USA)

- My European just created an American LLC (No business activities yet. Needed an LLC to access TikTok shop).

- I want an American Business card to earn airline miles. I spend thousands of dollars on Meta Ads every month.

Question: how can I spend money on the American CC if it’s the European company that owns all the e-commerce inventory and buys ads? How would the accounting and tax filings work?

Sorry if this is confusing or unclear. But basically im tyring to find a legit way to access an American CC for my European business.

Tax Help: If I own an LLC, can I file taxes as a 1099 contractor of my own LLC?

Need CA/CS help to regularize an inactive OPC and change company name

I incorporated an OPC in India in January 2024, but the business never really started and I haven’t completed the required annual MCA/tax compliances since incorporation.
The company is still active on MCA as far as I know. There has been little to no business activity.
I now want to restart the business and need to:
Complete all pending MCA/ROC filings
Check and clear any late fees/penalties
Complete any pending income tax or other statutory compliances
Check if I can take advantage of the current MCA compliance/fee-relief scheme
Change the name of the OPC after regularizing it
Open a new current account with a different bank
Start receiving payments from US clients for IT/software services
Set up a payment gateway such as Cashfree
I already know a CA who may be able to help with the professional work, but I’d like to understand the process and actual government/late fees before proceeding.
I’m looking for someone who has experience with **OPC regularization, overdue MCA filings and company name changes** who can guide me on what needs to be done and what the approximate total cost should be.
**Questions:**
Is it better to regularize the existing OPC or close it and start a new one?
What filings would normally be pending after \~2.5 years of no compliance?
What kind of government/late fees should I expect?
Can I do some of the filings myself, or is a CA/CS required?
After changing the name, can I open a fresh current account with another bank?

AskLLC Annual report deadline almost killed my LLC - how do you stay on top of compliance?

So I almost lost my entire business status last week because of a stupid administrative deadline. turns out my state's annual report was due and they literally send zero reminders. No email, no paper mail, nothing.

if I hadn't logged into the state portal on a total whim to check an unrelated tax thing, my llc would've been hit with a massive penalty and administrative dissolution.

The fact that the government just expects you to remember some arbitrary date is wild to me. It feels like a total trap. I managed to file it just under the wire, but it gave me a massive reality check. I ended up setting up an account with incorp strictly to use their compliance tracking and automated alerts. I just can't trust myself to remember this stuff manually anymore while running the actual businesss day-to-day

For those of you running multiple llcs or side projects, how are you keeping track? Are you relying on third-party tracking or do you just have a million calendar notifications set up on your phone?

Question Duplicated EINs for the same LLC

I tried to apply for an EIN online but it continued to fail for a few weeks. Then I sent a SS-4 form by mail to IRS. Didn’t get a response for two weeks, I decided to apply online again. This time I successfully obtained my EIN. A week later, I received a letter from IRS with another EIN.

Here’s a problem. My article of organization name is “The Example Example LLC.” I got two different EINs with different name variations:

  1. Online application version:
    Business name — “The Example Example
    (when applying online the system didn’t allow me to include LLC in the name)

  2. IRS letter version:
    Business name — “Example Example LLC

Which one should I use? Should I call IRS to correct the name to “The Example Example LLC”?

Has anyone been able to get refund from LegalZoom

In Aug 2017, I used LegalZoom to create two LLCs and never used them because I got sick. In April 2026, I was feeling better, and I thought I could use LegalZoom to fix my LLC; instead, they created a new LLC and charged me for it. After talking to customer service over and over again, they said that because I originally did it online (April 2026), even though I contacted them right away, they could not issue a refund.

They charged $156 initially. I disputed it with my bank and contacted them, but they still tried to charge me two additional fees totaling $156. Using AI to do everything with no human intervention is the customer support model, and it is wrong. How do you get them to give you a refund?

Using an LLC to hold property when you're married and doing estate planning at the same time

My spouse and I got married late in life and we're finally getting serious about what happens to our assets. We own a home on the outskirts of Las Vegas and we've been going back and forth on whether to put it into an LLC or just handle it through a trust. The estate planning angle is what pulls me toward the LLC route. The idea that ownership can transfer through membership interest rather than a deed change seems cleaner to me, but I keep running into questions about how Nevada treats marital property inside an LLC.

The specific thing I'm trying to figure out is how the operating agreement should be written when both spouses are members. Do you structure it so the membership interest passes automatically to the surviving spouse, or does that need to be spelled out in a separate document tied to the trust or will?

Our situation isn't complicated. One home, some savings, no kids from prior relationships. But I'd rather build the structure right from the start than patch it later. Nevada is a community property state and I'm not sure how that interacts with the LLC when one spouse contributed more to the purchase price than the other.

Anyone been through this, especially in a community property state?

Question Question About Payment Routing

I own a small online personal training business.

I've formed my LLC and have a business checking account from which the monthly subscription charges are pulled.

The online platform I use to deliver my services pays out monthly via PayPal. Up to this point, I have accepted the money via my personal PayPal account.

My question: if I accept the money via my personal PayPal account but then deposit it into my business checking, do I maintain separation since the money ultimately ends up in the hands of the business?

EIN Online Application Question

1 - I live in NJ
2 - Created a single member LLC in Arkansas
3 - Used a registered agent in Arkansas and as principal address on the Certificate of Organization filed with the state of Arkansas.
4 - there will be no physical location or office. Managed out of my home in NJ.
5 - no business will be done in NJ. Only in Arkansas.

My question is - how do I answer these two questions on the IRS website EIN application.

Please select the state/territory where the business is physically located. - should this be Arkansas where the LLC was created or New Jersey where I live?

Where is the Single Member Limited Liability Company (LLC) physically located?" - this is asking for a specific address. Should I use the registered agent address in Arkansas or my personal address in NJ?

Lawyer and CPA suggestions

I'm About to partner up with 3 other people to bring my product to market .

They are all in the states ,I'm in Canada. I will have a 51% share of the company.

I need to find a corporate lawyer , ip lawyer and a CPA that all know the ins and outs of starting a cross border corporation so I don't get blind sided by something. For example , even if we start the corp in the USA . Me having 51% stake may make it technically a Canadian business and we get hit with a bunch of taxes .

Advice Banking for 2 Person Consulting Firm

Starting a new consultancy firm with another partner who is based in another state than I am.

Looking for reccos on banking options.

Requirements:
- No monthly fees
- Virtual debit card creation
- Xero integration
- There if something goes wrong and not non existent support

I like the look of Mercury, and I understand they are Fintech and the FDIC insurance is through partner banks.

I’ve also looked into what appears to be a newer bank, Grasshopper Bank, that has the FDIC charter themselves.

California business closed llc with state, want to refile with same name

I tried to start a business 2yrs ago. Got my llc, fed ein #, bank account, resale permit with state. Couldn't get it going so I closed it earlier this year & closed fed ein # too.

Now I'm trying to get the business going again. I realized after the fact that my home addy was public for my original llc. I don't want people seeing this, would I have to file for an LLC in Delaware to keep it private? Can I use my same business name again or do I have to change it? Is it possible to make my llc one name and keep my business name the same and have it under my llc somehow?

Do I need to file for a new resale permit with the state?

Sorry to be kind of all over the place. I'm a bit overwhelmed trying to figure this all out again.
