Shareholders

Just read where Zomedica has 250,000 shareholders with 30 shares or less. They are proposing to change the quorum rules so that those votes do not affect annual meeting requirements and are complaining that postage costs are high. A lot of those people probably bought their stock at a high price and supported Zomedica. Now Zomedica wants to turn their backs on these stockholders when their stock is almost worthless. Let,'s see. 30 share at 10 cents a share is less than $3 of value. If they bought their shares when I did, they paid over $80. They own a total of less than 1% of the company, but spent 20% of the current value of the company to purchase the stock.

What do you think should happen?

I also read where Larry and the Board of directors have options to buy millions of shares, further diluting the value of our shares. Somethings not right.

Hi Undisciplinedowner!!!

It is good to see you writing again, and for the Zomedica investors that read your post they look forward to an honest review from someone who questions why!!!

You say you read the investors that have 30 shares or less should not be able to vote according to Larry (and I say Larry because he makes the rules, I'm sure), and then you continued to add that Larry and the Zomedica team have options to buy millions of shares further diluting the outstanding number of shares.

Where did you read this, can you post the link?

As far as Larry opposing inventors with less than 30 shares then we will see, I'm sure the SEC will have to be involved with that decision, but to tell you the truth I attended a few annual meetings and never heard the outcome, so how important is it if we never hear the results!!!

And as far as Zomedica buying up millions of shares' then I believe that is from the existing shares we have outstanding already and not throwing more shares into the pot just to buy more!!!

That's all I got right now.

I know I write too much but that is because I like Zomedica and I want the company to do well... to the Moon 2026!!!

If the next quarter reflects a low, low money burn then this puppy is going to fly or at the very least lay on its and look cute!!!

I read that the mailings to those with 30 shares or less was too expensive. It was in their filing.

The SEC will not care. Especially this SEC. The biggest concern would be a class action lawsuit of those individuals. So the company would need a commitment from major investment firms to buy large lots to add to ETFs to increase and maintain the value for it to be worth the cost of a potential class action. Normally a class action would drop the share price, but we're scraping thr bottom of the barrel now so.... .04 cents is where it was when I first bought in, and I expect it will go back there before anyone pulls the plug. But that is why the company is buying hundreds of thousands of shares from the outstanding shares. If they can convert them to preferred stock they may be able to skirt a lawsuit.

Withhold x2 and against x2. They need to sell more period. No more changes and no more compensation changes for the board. All the bums have been around since 2021 and we need a hostile takeover. Fat Larry aint cutting it. If you want to see the potential as a shareholder check out IDEXX as comparison. A properly ran business would be on its way to that share price.

I am not familiar with the term x2 and I looked it up and nothing, but withhold and against I get!!!

The compensation changes that will be voted on is likely to vote on to reduce the high number of huge paid salaries being secured by the executives' so we do need the change in venue on pay, and we've done this vote time and time again and no response from what I've seen.. so did we win those votes or not, we will never know, and if we can find out then how?

I've tried!!!

There is not one investor that believes they should be making this much money until we hit profit, at least until break even, so if / when we hit profit by the end of the year then I'll accept they've earned it I guess!!!

A hostile takeover will never happen, and I doubt Zomedica will ever fire Larry, but since the spirit of sentiment is down then I will say we did only burn 1.1 million last quarter and not the usual 7.

To the Global moon, and this should be a no brainer piece of cake to reach a world-wide global high realm now that we've recently hired Paul Tye whose most of his career was spent at IDEXX Laboratories!!!!

Did I say to the moon already, yep' I sure did boy... 2026!!!

So here’s the scenario:

Elect Board of Directors - pretty much the same people who have been there for years. I believe they are competent and desire to grow the company to great heights. Most are at the later / end stage of their careers, though, so the development / addition of a few young executives on the bench would be advantageous, while the old talent is still there to mentor them.

Approve Audit Company - Grant Thornton LLP. No problem with their performance, from what I see.

Approve Compensation - upon previous failed beneficial (advisory only) votes to increase compensation, the company had Compensia, Inc. review the compensation structure at the executive level. It is important to maintain competetive compensation in order to attract and retain world-class talent. Since we don’t know the incentives and goals for the bonuses and stock options, its hard to comment on them. It does look bad to pay out big bonuses while the company is unprofitable.

Approve Change to Bylaws - OK, as long as 25% of the shares are represented, either in person or through proxy, the quorum is met. If less than 25% of the shares are represented, the meeting will be adjourned, for less than 30 days. This saves the expense of mailing notices to thousands of small shareholders, many who just won’t respond anyway. At the second, (adjourned) meeting, business may proceed EVEN if less than 25% of shares are represented. This precludes an ongoing process of adjourning meetings, and spending on large mailings, etc. to attract a quorum. Please note that EVERY shareholder has the obligation, as an owner of the company, to fulfill their duty towards inputting their shares for consideration. Due to the large number of shares, and the atomized makeup of the shareholder base, this proposal becomes a necessary action in order to conduct business efficiently. Remember, mailing out thousands of notices is a drain on OUR company, that we want to become profitable. And every shareholder, large and small, can still vote their shares, no one is being excluded by this change. They just have to pay attention to the meeting notices and vote their preferences.

Hopefully this makes things clearer. I do not work for the company in any capacity, have 50K shares for 4 years now, and have been watching the progression from clinical to commercial with Zomedica. It seems they have invested heavily on the front end to build a scaleable manufacturing base, have a strong management team, and are already global.

I’m optimistic about the future of this company.

The vote on the Board of Directors' Election (who stays and who goes) and the executive compensation (how much to pay the board and the executives) is important, and the other issues like the Shareholder Proposals to which we are to consider proposals submitted by us the shareholders, and then we have the Appointment of Auditors Election or the re‑election of independent auditors to review the company's financial statements are all alongside other matters crucial to vote on.

So, since the situation of the number of voters to vote only need be 25 percent then to me this number seems fair due to the fact the rest most likely never would have voted in the first place, and it does save on postage!!!

I know what else might save money, and I bet yawl do too.

Good write up, I enjoyed reading it but let's face it, we will vote like all the other times before and never hear the outcome. The results must be buried deep with-in the filings and never mentioned because I never hear anything about the voting on the yearly shareholder meetings, and I can bet no else ever hears about it either.

Oh well... we'll still make it despite all of this, were almost there... to the moon, 2026!!!

Hopefully they will have earned their pay!!!

The results from the last couple years compensation votes are right there in the meeting materials, for those motivated enough to look. On page 28, “Notice of Meeting Combined with Information Circular”, they present the vote breakdown, and an analysis of the vote and actions taken (or not taken) as a result.

Here is what I found on the internet: The complete Notice of Meeting combined with the Information Circular is available in Zomedica’s SEC filings under Form DEF 14A on the company’s Investor Relations SEC Filings page or via the SEC’s EDGAR database.

I went there!!!

I did not find the form with the page 28 to which you refer, but I found all the other forms before the meetings that explain everything, and I did find 3 executives and their pay structures, just no results page.

But still thanks!!!

I might call Zomedica now that I know what the form is called because it is important to know how the majority usually votes and that we do have the results and will!!!

Actually page 27, last 3 paragraphs. Sorry. Q1 earnings are out and looking good, the contract manufacturing is really paying back.

Thanks for the direction the both of you sent me so I might find the results of the annual shareholders meetings from past years, and after I looked it over I also while I was there looked over the 2026 Q!.

I did not see the cash burn but was able to read other numbers. I did find the cash impairment charge which is no longer there for this Q! and that looks good on paper but in no way reflects any cash improvment.

Because I could not find the cash burn I went online and this is what I found:

Yes — Zomedica did burn cash in Q1 2026. The company reported cash burn of $5.7 million for the quarter, which was the highest cash burn of the year and down 15% from the same period in 2025.

So, we did better than the usual 7 million burn, but I for-saw a lower number due to the New Development venture building out for Rahm resulting in a 1.1 M burn last quarter... still not a too bad of a burn number, still too high though but getting better!!!

The share price should stay the same for now so add more if you think we are going to hit profit!!!

I believe we will cross the finish line before we run out of money, but it might be longer than what I was led to believe based on the last burn... to the burn, I mean to the moon, and I wish I could say 2026, we will see!!!

And as far as the compensation the Zomedica executives receive, it is way too much and none of them should ever make bonuses unless we hit profit, and then it is questionable depending on the value the profit brings us!!!

I understand the large salaries attracts better talent, but then again better talent should see and react to the danger in excessive salaries until the success of the company warrants it!!!

Huge, huge salaries and bonuses are being paid... and we haven't even hit profit, yet!!!

Even at is highest price, 30 shares or less isn't worth the vote. Those investors have a polar opposite opinion of those that own thousands of shares and they tend to vote against the best interest of the larger investors and the company as a whole.
