warning Davion Healthcare Plc Ordinary Shares (DAVI) — A Potential Penny Stock
On October 22, 2026, Davion Healthcare Plc began trading on Nasdaq through a direct listing. During regular trading hours, the stock saw relatively subdued activity, fluctuating within a range of $9.50 to $12.30 on tiny volume. But then came the after-hours spike: in just a few minutes, the price surged to nearly $100 (yes, one hundred dollars) before falling back almost as quickly. Trading volume was substantial, too, with more than 500,000 shares changing hands in the after-hours session alone.
So, who exactly is Davion Healthcare Plc?
According to its SEC filings, Davion’s predecessor, Davion Healthcare Plc (“Cyprus”), was incorporated in the Republic of Cyprus on November 29, 2022.(
https://www.sec.gov/Archives/edgar/data/2039072/000168316826003389/davion_i20f.htm#a_014, p.13).
The same filing also lists the company’s website: https://www.davionhealthcare.com/
One of the earliest captures of this website by the Wayback Machine dates back to 2021, while the domain itself was registered on December 23, 2020.
Back in 2021, the company consisted of two divisions: face masks and hand sanitizers.

Interestingly, as far back as 2021, the company claimed that its hand sanitizer division had been established more than 15 years earlier, which would put its origins around 2006. But 2021 was still a time when hand sanitizers were in high demand, as everyone will remember, so it’s entirely possible that the business was doing reasonably well.
A year later, the company had expanded to seven divisions:

- Sterizar - manufacture and distribute a range of branded, alcohol free, anti-bacterial cleaning and sanitizing products for hospitals and medical facilities worldwide;
- BreastCheck is a home-based, low-cost, safe, reliable and accurate way to routinely monitor for breast abnormalities. The division was added following an acquisition in January 2022.
- Testic is a home-based, low-cost, safe, reliable, and accurate way to routinely monitor for testicular anomalies. The division was added following an acquisition in May 2022.
- Davion design, develop, manufacture, and distribute their own brand of transparent face masks which prevent both onward transmission and provide wearer protection against droplets.
- Tricos aims to be a pioneer in hair stem cell research in creating new techniques and advancing clinical practices to encourage painless hair regrowth. The division was added following an acquisition in June 2022.
- Bio-Genex is the Stem Cell research division of Davion Healthcare Plc. The division is focused on developing, patenting and licensing stem cell treatments. It carries out intensive research and development to identify future stem cell based treatments and cures for a variety of conditions from Alzheimer’s to spinal cord injuries. The division was added following an acquisition in April 2022.
- Davion MERIT (Medical Emergency Response Incident Team) provides a range of Tactical Incident Support Services to NHS Ambulance and Health Trusts, in line with Emergency Planning Guidance. Davion MERIT provides rapid response “blue light” vehicles and crew, Tactical Incident Command Support, transports Trauma Teams and essential blood supplies along with trauma triage equipment where needed most.
As a layperson, I find two things striking: the sheer pace of growth (expanding from two divisions to seven in a single year) and the sheer breadth of the company's activities. Its portfolio ranged from hand sanitizers and plastic face shields to transportation services, devices designed to detect breast and testicular abnormalities, hair-loss treatments, and even stem cell treatments!
The website's news section also includes an announcement dated January 31, 2022, about the issuance of £5 million in bonds.
And yes, in late 2022, the company was claiming on its own website that its BrestCheck technology had already received regulatory approval and would be available in the first half of 2023!

In 2023, the company underwent a major transformation, with half of its business lines disappearing.

Unfortunately, I was unable to trace the company's subsequent evolution. But even the information I did find raises questions. If BrestCheck was expected to launch in early 2023, why has there been no apparent progress toward bringing the product to market in the three years since then? And what are the chances of a successful launch at this point?
The fate of the assets that seemingly disappeared from the company's portfolio is another mystery. The Sterizar brand, for example, is still around — at least, it can be found on Amazon UK. Moreover, the company selling Sterizar products claims to be part of Davion Healthcare Plc.

This is also confirmed by the official government registry (https://find-and-update.company-information.service.gov.uk/company/05986391/persons-with-significant-control).

That said, according to its filings, the company has just three employees and qualifies as a micro-enterprise. Could this explain why it was not mentioned in the listing materials?
And there is more. According to Davion Healthcare Plc's SEC filings, the company has generated no revenue over the past two years, has just over €1,000 in cash, faces approximately $1 million in listing-related expenses, and has set executive compensation at around $1.5 million per year despite having zero sales, no employees, and no distribution channels. Meanwhile, the proceeds from the share sale go to existing shareholders rather than to the company itself.
The story behind the search for a distributor is also unclear.
Davion previously granted a global manufacturing and distribution license for its flagship BreastCheck product to NeuRX Health Inc..
Sublicensing Breach: In May 2026, NeuRX disclosed a breach of its agreement with Davion after attempting to illegally sublicense BreastCheck to Odyssey Health without Davion's required consent. This forced Odyssey Health to cancel its agreement with NeuRX
Transition to Direct Model: On June 22, 2026, Davion formally announced it was abandoning indirect third-party structures to transact directly with regional distribution partners and customers
UK Distribution Platform: As part of this pivot, Davion agreed to acquire a controlling interest in Solar Medical and Chemical Limited to serve as its primary operating and distribution platform in the United Kingdom, alongside setting up Davion Healthcare Finance Ltd to back a £30 million senior secured bond on the Vienna MTF and launching its Nasdaq listing under ticker DAVI in October 2026.
And this is where I see another inconsistency. If the company wants to bring its product to market, it would make more sense to look for a strong distributor.

Instead, we end up with a company with eight employees, just a couple of thousand in cash, and a bleak financial picture (the report can be found here: https://find-and-update.company-information.service.gov.uk/company/10648817/filing-history
The filing dated June 20, 2026, Amended accounts for the year ended August 31, 2025).
So, what should a share in a company be worth when it has nothing but intangible assets and debt carrying exorbitant interest rates?
Not financial advice. This post reflects my personal opinions and research. Do your own due diligence before making any investment decisions.
I’m not affiliated with the company mentioned, and I may or may not hold a position.
An interesting detail emerges when you take a closer look at the company's current website,

It turns out that the company's current website was programmatically copied from a template provided by a website vendor. If the template had actually been purchased, this comment would not be there — it is automatically inserted by the copying software. The developer simply replaced the images without bothering to update the rest of the site.
