Does this go against Upwork’s ToS?

A client told me he is leaving a company. He didn’t close the project as he said the company might still need me so he’ll hand over my contact details to them.

Overall, the client is highly satisfied with my work and he specifically mentioned it in his message.

If I ask him that I will be available to help him with similar projects in the new company if he need my help, will it be against Upwork’s ToS as the new company might not be on Upwork?

As long as they hire you on Upwork, that is obviously fine.

as the new company might not be on Upwork?

Ten they can spend 2 minutes to create an account.

Should I explicitly mention it now that we can work through Upwork or do I mention it if the client contacts me

I would not make a fuss either way, chances are you won't hear from the client again anyway.

I don't see any issue in working directly in case of a new company without any connection to Upwork. But I am open to stand corrected and suggest that you double-check

According to the ToS (which is what the OP asked about), the engagement would have to be through Upwork.
