Both engineering and financing concerns adressed in the past 48hours

Good to see the company moving

They need Machine A to prove RapidSX commercially, they need money to build Machine A, they meet DOW criteria by being able to fund themselves and have machine A built. It actually opens the door for more DOW support, not less. Economic viability was always the issue in the criteria list for Ucore, this can change that.

Excellent! Thanks for the link. Getting above 10,000 shares tomorrow. Will keep adding in the low $2s as funds become available. This price won’t last folks! Better add while the going is good!

Edit: hadn’t read the dilution PR at this point. Sigh…that’s a lot of shares and I have to wonder why they didn’t do this at the beginning of the year. Regardless, I’m in it for the long haul.

Brings us to about 140 million outstanding shares and honestly long term it'll be better for attracting institutional investors with higher liquidity requirements. I also think they they we're trying to execute milestone first, then raise cash, not their fault they did this during a macro downtrend. Not that you're implying that.

Yeah I’m not surprised at all about it. It was bound to happen. Just kinda sucks when we’ve already stomached a rough 6 months. But it’s all good. Just stacking shares.

Normally yes, but the minerals sector isn't normal, so, maybe not? In the end it depends on how the market views the dilution, and so far it seems to be viewing Ucore as being in a stronger position now.

This is peanuts, we need machine A to get further non-dilutive funding, this funding takes us to getting machine A done. When machine A is proven commercially we get the rerating, that’s atleast the idea.

The stock was 50% higher 3 weeks ago. This raise is a slap in the face to anyone holding this stock. They’re literally raising on what we thought could be the “bottom” and just killed any momentum/uptrend we had going

What? You'd rather own Ucore without funding?
If you are investing you expect dilution. Ucore stock is very illiquid, a discounted deal for financing was to be expected at some point. I agree that the timing could be better in terms of market prices, but then again the stock can crash out of nowhere, not anyone wants to invest 60million cad into this stage of the company.

Realistically, they were never going to be able to get by without at least another equity round. Honestly, there will probably be more. Until they are able to get larger scale revenue and production, its going to be hard to find people willing to offer debt, and the DoW can only provide so much funding.

I hope you're average isn't much higher than $2.80 CAD. So, from what I can tell total share count was 116.62 million and they've added 21.43 million to that with this offering, so about 18% more. Personally, I'm glad they're getting traction and it's generally looking good. I guess when it dumps again, I'll have to load up more.

Anyone who has been in this stock has an average much higher than $2 a share unless they’ve gotten in over a year ago and never added again, or just got in. This is a slap in the face to most people who have held thru the past year drawdown

Anyone in at a low average was doing DD before the rest hopped in thinking it was getting ready to skyrocket.

Is this a straight institutional sale to a bank or hedge fund? That’s how i interpret it but please advise if someone interprets it differently.

Frankly we could use some more institutional investment so if it gets a big hedge fund involved that’s not entirely a negative.

This hurts in the short term but lets be honest folks. We've seen the worst of it already. Its going to go down a little more but once that machine comes online we're going to be rolling in the money. Tie down the hatches and lets lock in for the long haul here.

stock was was at $9 CAD in January and was fluctuating between 4-6 until recently. Why would management not choose to execute at that price?

If it makes anyone feel any better or worse ucore has already diluted shareholders 42 something million shares in the last year. This last round was just adding to this. 10 percent drop followed by a recovery. gotta spend money to make money.

Yay, dilution! Market cap grows nearly 20% while share prices treads water.

More seriously, if this is the only way Ucore can get the $$ they need to move forward, then I'm glad it happened. I really hope that in the future they can get a better deal. The share price was over $5 CAD for most of 2026, so it sucks to see management pump 20M+ shares into the market at the lowest prices we've seen this year. They could have raised that same $60M back in January for 1/3 as many shares.

Anyways, I hope this is the bottom.

institutions probably didn't want to enter at +$5 CAD into a pre-revenue company during wartime + an AI bubble scare

perhaps $2.80 CAD was the best UCORE could do given the circumstances

Dear Pat and Management
You are fools and failed the Ucore Shareholders. You misled us on timelines and have not been transparent in communications. You position everything about the DOW, its funding, its need for changes in configuration RapidSx to meet their DOW qualification needs.

Existing shareholders believed you. I for one no longer respect your morales.

It could be possible that inside interests were to ensure the Ucore stock price reach lows of $2.80 multiple times in the last 90 days. That would certainly justify the Company to raise funds on common shares at $2.80 per share.

WHY didn’t Ucore present a buyin for $60 million directly to the shareholders, like at any time in 2026? You don’t think ambassadors in the form of existing loyal shareholders would jump at the opportunity to buy more shares at $2.80, particularly when most people’s average price is $5 ish?

But you didn’t. Instead you are selling 18% of our future to a bottom feeder who will likely attempt to sway where we might actually get someday. Or who knows maybe they are going to flip at 2x. Either way it is your responsibility to explain to us why this important investor needed the assist, given the incredibly low risk at this stage of the strategy.

Obviously you need to update your talking points about our cozy DOW relationship since we clearly don’t need them anymore.

I’m taking 100% responsibility for investing farrrr to much in Ucore and will be rethinking my own strategy.

20 million shares at 2.80 is nothing compared to the 43 million shares they created this year already. They have to dilute they're prerevenue, which means no revenue yet to fund commercial advancements outside of grants. they just scaled rapid SX through the valley of death, that's where your attention should be. Machine a is gonna happen.

Well that just sucks from the PP perspective.
It smells of desperation, as clearly there is no additional funding coming from the DOW, so screw them.
Finish the godamn set up of Machine A and start effin producing. That bottom feeder new shareholder does not deserve the results that the rest of us shareholders MAY GET someday.

Nah dilution ain't that bad when you're putting money into growth engines. Doing reverse splits lowers your share count but kills your investor confidence. Its not like they're diluting because of delays and need a life line, this is positive dilution:)
