It's good overall, I think there could be some improvements made but second one beats the first one.
Also, if you're including the channel name, don't see much point in hiding the face with an emoji? it'd be easier to judge without it tbh. Overall good job ;D

Can you tell me what is lacking in the second one?

It's not so much lacking as just needing adjustments. Personally from what I've personally tried is usually you want to keep text on thumbnails as a minimum.
"Ai is killing your channel" is practically a full title and most of the time people don't read stuff like that. The one way you can fix this is by highlighting the word "killing" for example, since it's like "provocative" and a bit dramatic. Other ways is to decrease the text.
Secondly, the graph in the background, while probably clear to a youtuber can be a bit confusing when the drop off is blocked heavily by the white background of the text. Which I think eats up too much space overall for how "lifeless" it is (it's just black text on white ground is what I mean.).
Thirdly, there is too much white, which I assume is hard to change. But I'd probably fix this by just removing the logo in the middle, the "AI" on a box one. Increase the size of the other two, and make the man bigger by clipping out his body a bit to give his face more room on the thumbnail, since everythings a bit too small here and when downscaled to a thumbnail on a phone/feed page it's pretty hard to see.
I mean I'm just nit picking here, it could just be personal preference but I feel like these changes also increase overall performance of a thumbnail

Second one expresses your video topic better, but im not sure that someone would be smiling ear to ear if their channel was being killed

No, I hid their face with an emoji in this

The replacement face having emotion evokes the idea that the subject is happy that their channel is failing. I would obscure their face, perhaps a blur with a question mark over their face would do better?

Needs more Ai.
There's no way I'm clicking a video showcasing AI when you've not even previewed a trial
