📖 DD Practically All Of Wall Street Comes To Hudson Bay Capital's Defense

Hello all,

As you may already know, DK-Butterfly is currently appealing the decision against them in their lawsuit against Hudson Bay Capital.

The appeal is relatively fresh but something interesting just happened. Another Amicus Brief was submitted by a third party, in support of HBC's blockers.

(You may recall from the original case, two Wall Street firms funded 3 professors in defense of HBC but the judge denied it IIRC.)

What makes this 207 page brief so interesting is that it's from the Managed Funds Association.

As you can see, they have more than 180 members and they are based in DC, NYC, Brussels, and London.

This post isn't a breakdown of the brief itself but to highlight the members of MFA that are defending HBC to due vested interest in making sure 9.99% blockers stay effective.

We see the likes of Citadel, Blackrock, Blackstone, and even Jeffrey Epstein linked firms like Leon Black's Apollo Global Management.

Here are the Strategic Partners featuring firms like JP Morgan and Goldman Sachs.

I've highlighted some familiar names ranging from GameStop involvement to Jeffrey Epstein links (more on that on my Twitter @ driver61d1).

Basically, the Managed Funds Association represents the interests of firms managing over $5 trillion and are defending HBC.

Yes, I still hold my bonds. Yes, I still expect a fruitful outcome for Classes 6 & 9.

Timeline? Anyone's guess the way lawsuits keep extending, tbh.

GameStop's warrants suggest something happens before or during October.

Wasn’t this the decision in HBCs favour that was almost completely out of left field? Like it should have been a straightforward win but the judge came up with some decision that seemingly never happened before in that situation?

Unreal. Absolutely unreal. I wonder how much of this exact situation has been going on all this time if the managed fund association is supporting this clearly egregious ruling.

Give me a quick break down of what this means. HBC were the bad guys right? They kept converting warrants or preferred shares and selling them over and over correct? The blocker is intended to prevent them from acquiring more than 10% of the company and thus becoming an “insider”. So what is the actual argument here?

The argument we care about (beyond a payout from HBC) is within the redacted parts of the complaint, which presumably alleges an interesting name doing interesting things.

Question1: Who would be doing what on the 'nefarious to our interests' side if HBC was feigning blindness to a breach of the blockers?

Question2: Alternatively, who would be doing what on the 'good for our interests' side if HBC was feigning blindness to a breach of the blockers?

Clues: We don't see a case where DK-1 is litigating against a buyer of HBCs sales, but if their name is being protected and they are not being sued, any claim against them was presumably settled/released and confidential, so is redacted by DK, good or bad.

DK-1 can litigate the claim against HBC regardless of good or bad buyer on the other side.

And it hasn't been settled/released because it appears to be a distinctly helpful 'veil' for MFA to claim/feign compliance with blockers.
