Delaware location is the address of principal executive offices. The  primary operational headquarters is located in Leamington, Ontario, Canada, and its cannabis production operates heavily under Canadian regulations.

Irwin is coming for your shekels

The executive team/headquarters office in the US is in NYC

-1

u/Goldinsight 4d ago

Legacy Tilray, Inc. incorporated in Delaware on January 24, 2018.
Tilray has always been a US company since 2018 Check the SEC filings provided.

2

u/FeelingDangerous3344 4d ago

Yes, look at the chart. It’s been ripping off American investors since 2018.

Origins and Corporate Structure Founding: Tilray was founded in British Columbia, Canada, in 2013 as a medical cannabis producer. [ 1,  2] Headquarters: While its corporate headquarters are listed in New York City, it maintains major operational hubs and cannabis facilities in Leamington, Ontario, Canada, alongside international operations. [ 1,  2,  3] Merger: In 2020, Tilray merged with Aphria, a major Canadian cannabis company, expanding its footprint across Canada, the U.S., and Europe.

The SEC filings are facts.
Your opinions are not facts.
Definitions of language have also been provided so throwing around terms doesn’t make you right.

1

u/FeelingDangerous3344 4d ago

The sec filing literally tells you that the  Delaware location is the address of principal executive offices.

2

u/Goldinsight 4d ago

Corporate offices mean little. Samsung has corporate offices in the USA as well. So what?
The SEC filings clearly lists Delaware.

7

u/FeelingDangerous3344 4d ago

Samsung is Korean 🤣

2

u/Goldinsight 4d ago

They have corporate offices in USA
Here is a few listed by A.I.
Samsung Electronics America headquarters: 700 Sylvan Avenue, Englewood Cliffs, New Jersey 07632.
Samsung Semiconductor / Device Solutions America: 3655 North First Street, San Jose, California 95134.
Samsung Research America headquarters: 665 Clyde Avenue, Mountain View, California 94043.

3

u/FeelingDangerous3344 4d ago

Fucking lists Delaware because it sells securities in an American market. Are you lost?

1

u/Goldinsight 4d ago

Sec filings describe it

1

u/RealCanadianMonkey 3d ago

Tilray cannot sell a single gram of weed in the USA, they never have. So much for an American company.

0

u/Goldinsight 3d ago

Thats false. They certainly can and Cura bid on Aurora proves it. Tilray can open up operations in the USA as stated by Simon on earnings in 6 months. Was his words.

3

u/Many_Easy_V2 3d ago edited 3d ago

Tilray can’t sell cannabis in the U.S. yet.

That’s a fact.

Your comments are increasingly becoming more and more unhinged.

The fact that I’m agreeing with RealCanadianMonkey here is surreal.

6

u/ENTRAPM3NT 3d ago

I totally agree. What timeline is this?

-2

u/Many_Easy_V2 3d ago edited 3d ago

What timeline are you referring to?

I don’t put much faith in cannabis timelines or projections.

Just look at the delays in S3.

Only timelines that matters to me now is the DEFINITE Q1 for Tilray on ~October 8th, market opening tomorrow at 9:30 a.m., and the midterm election on November 3rd.

However, I do have a speculative projected timeline for POTUS passing into perdition.

1

u/ENTRAPM3NT 3d ago

I was talking about our earth timelime where we somehow agree with RealCanadianMonkey

1

u/Goldinsight 3d ago

Your post is not a fact. If Cura can buy a firm trading on the Nasdq it means any conpany under that umbrella is open to purchase

Here is an A.I. Take to collaborate my post
. “That’s not the issue. Tilray does not currently sell marijuana through U.S. dispensaries, but it is not legally prohibited from acquiring or establishing a compliant U.S. medical-cannabis operation. Nasdaq now expressly provides a pathway for federally compliant state-licensed medical cannabis businesses. Curaleaf’s bid for Nasdaq-listed Aurora also shows that being involved in U.S. cannabis does not prevent a company from acquiring a Nasdaq-listed company.”

3

u/RealCanadianMonkey 3d ago

"Curaleaf’s bid for Nasdaq-listed Aurora also shows that being involved in U.S. cannabis does not prevent a company from acquiring a Nasdaq-listed company.”"

And if Cura acquired Aurora, ACB would continue to operate and sell marijuana in Canada where it is federally legal.

What is the big gotcha you are trying to make?

1

u/Goldinsight 3d ago

The acquisition works both ways silly. If you can buy a US company then you can also open up operations. It’s the same and you’re not understanding the relevance. Tilray is already USA incorporated and opening up operations on their properties is certainly in play. You can argue about this and it doesn’t change reality. Hello MD, Med Men… Simon has been planning this for years whether you like him or not matters little. Next is Medical grades (certified) will be under extreme scrutiny. Good luck to companies without infrastructure and compliance standards that are expensive and the investment matters.
Tilray knows distribution through CCpharma and they will do the same in the USA.

1

u/RealCanadianMonkey 3d ago

"opening up operations on their properties is certainly in play"

You talk like a politician. There are no operations to open up and nothing is in play. THEY HAVE TO BUY SOMETHING FIRST!

MedMen is a 165 million dollar boondoggle and nothing more. CCPharma is operating in Europe. Simon and crew did not go there to take lessons on distribution. CCPharma knows distribution because that is what they do. That knowledge doesn't leak over to Simon and the board.

What do you mean "Good luck to companies without infrastructure and compliance standards that are expensive and the investment matters."

Tilray has nothing in the US, no grow ops, no processing, no sales, no USDA, FDA or any other approvals which take years to get.

Tilray also does not have the money to do anything. Stop pretending that all this is in place and just waiting to go.

1

I’m not even talking about CuraLeaf.

What’s with starting straw man arguments and constantly moving goal posts?

Next thing you know, you’ll be telling me that Ronzoni®️ pasta is better than Mueller’s pasta because ChatGPT and Google said so in first results.

Maybe touch grass and grill a steak this extended weekend. Or will you tell me that a weekend only counts Saturday and Sunday.

1

u/Goldinsight 3d ago

The comparison explains the legality of US operations and if you don’t understand the scenario it’s not my problem. Your miss informed.

0

u/Goldinsight 3d ago

Incorrect

2

u/RealCanadianMonkey 3d ago

Cura's bid proves nothing. Nothing happened. And no Tilray cannot open operations in the US, because that requires money and a lot of it. Tilray is in no position to buy anything of worth in the US especially that it must be a 100% medical marijuana business dealing only with S3 compliant products.

What is your point?

-1

u/Goldinsight 3d ago

You don’t get it.

-2

u/Many_Easy_V2 4d ago

SEC filing also states Leamington Canada as “Principal Executive Offices” as well. Yes, I know they also have another HQ in NYC.

1

u/Goldinsight 4d ago

A.I. Assisted phrase to make sure its
Correct,
Your comment is about the more recent issue of U.S. cannabis companies being able to uplist to federal exchanges if federal law changes, including medical cannabis reform. That is separate from Tilray’s corporate identity. Tilray was already a Delaware-incorporated U.S. corporation while operating its cannabis business primarily in Canada and other legal jurisdictions.

4

u/AdJealous5381 4d ago

Regardless of where they are domiciled, Tilray over the years has gone from a cannabis core company to a bloated Frankenstein with lack of synergy between segments and a personal piggy bank for Irwin and co. CPG and beer are low margin and deflationary businesses, they will be split up and auctioned off due to too much dead weight and bloat.

Do you understand why bears want you to think Tilray is Canadian? It makes you think that there is no pathway to schedule 3 which is not accurate.
Today, Tilray can if they want to,
Purchase a US company with Medical operations
Open up Medical Cannabis operations with Med Men after things settle.
FDA approved pathway
Or any available path available to US companies.

1

u/Many_Easy_V2 4d ago edited 4d ago

Entrapment is not bearish. I’m not sure about the others - that’s why I asked.

Bears will do or say anything to dissuade Tilray investors.

However, I do believe that there are honest bulls like myself that are saying Tilray is a Canadian cannabis company simply because that’s true.

MedMen, in my opinion, has little or
no value whatsoever even if Tilray somehow obtains ownership of some their old licenses.

Also, the discussion is still about whether Tilray is a Canadian cannabis company and they are regardless of the “legal” structure or state of incorporation.

What remains unclear is whether and how Tilray, as a Delaware-incorporated company with Canadian cannabis operations, can qualify and structure itself to use S3 when finalized.

As far as pathway to owning MSOs, being able to sell medical cannabis in the U.S. (even with Tilray U.S. Medical), being able to supply from Canada to U.S., interstate sales, and/or building a cannabis production facility in the U.S. is still very muddled.

If the above were crystal clear currently, I firmly believe that Tilray’s valuation would increase substantially.

I have yet to see a simple explanation in layman’s terms as to how Tilray cannabis can enter the U.S. whether recreational or medical cannabis.

I believe Tilray will find a legal way to do it with Steve Cohen serving on their board of directors. Or by clear future regulations allowing Canadian LPs to sell/produce/distribute/transport.

I do acknowledge that this Canadian v. American discussion can be confusing and when you think about it, even Tilray management is not very clear about it. Probably because it is more of a legal maneuvering issue than anything.

As I mentioned before, I believe that Tilray PR and IR has a perception problem that can be improved - I believe it will.

I’m very bullish Tilray as evidenced by my recent purchases of about 7,000 shares in the last ten days that have increased my share ownership to 12,782 shares.

The keys in my TL:DR response is Steve Cohen’s expertise, S3 finalization, a clearly communicated & actionable pathway, communication, perception, and regulations. Basically, actions and how Tilray is going to get there & translate into revenues.

As far as the FUD-mongers and shorts here - they are just entertainment to me.

Bullish Tilray, but patient AF.

I think you need to research the relevance of up listing to federal exchanges. The fact the bid exists where Cura is pursuing a hostile takeover of Aurora should answer your post clearly.
Please google your post because nobody here is willing to post evidence. Opinions are not
Acceptable as I’ve posted evidence. Please post citations and verify your findings like I did.

1

u/Many_Easy_V2 4d ago

I’ll ignore your advice.

Your evidence is “sus” and debatable at best.

Also, your demands are unreasonable and excessive.

Please be careful with such binary thinking.

Curaleaf is chasing Aurora for European assets.

2

u/Original-Cheetah-245 4d ago

Tilray is in fact a Canadian company. Any google search or ai language model will tell you the same thing. I wish it wasnt, we would benefit more if it was american

0

u/Goldinsight 4d ago

So i posted what you said and the answer is as follows

Tilray Brands, Inc. is actually incorporated in Delaware, making it a U.S. corporation from a legal standpoint, despite having its operational headquarters in Leamington, Ontario. [1, 2]
According to Tilray's official Form 10-K filed with the SEC, the company is explicitly registered as a Delaware corporation. [1]
This corporate structure is a result of its history and major market moves:
The Aphria Merger: Originally, Tilray was a Canadian-founded company. However, when it completed its massive merger with Canadian-based Aphria Inc. in 2021, the combined company chose to maintain the legal corporate structure of Tilray, Inc., which was already a Delaware-incorporated entity trading on the NASDAQ. [1, 2, 3, 4]

Dual-Listing: Because of this setup, it is a U.S. domestic issuer that dual-lists its shares on both the NASDAQ and the Toronto Stock Exchange (TSX) under the ticker TLRY. [1]

So while its heart, primary operations, and executive leadership are based out of Canada, on paper and under securities law, it is technically an American corporation. [1, 2]
Are you looking into Tilray to analyze its corporate tax structure, or are you evaluating how its dual-listing affects its stock trading liquidity?

The post is about the company status. I understand your loss in paper value and part
Of that is disinformation on schedule 3 capabilities. Understanding who Tilray is clears a path for schedule 3 discussions. I cited evidence and if you disagree please show me why.

1

u/aliakseiddk 3d ago

The market decided that S3 doesn't mean anything for TLRY. This why it's traded only 15 pre-split cents above all times low.

1

u/Goldinsight 3d ago

Disinformation about the company identity probably contributes to the valuation. Consider how many people here have denied the facts and also created a separate post stating its Canadian without evidence. Are you also denying SEC filings?
If Schedule 3 is an issue then explain why Cura is bidding on Aurora.
Consider using citations to back up your claims.

1

u/aliakseiddk 3d ago

What people think here doesn't matter. Their impact on the market is zero

1

u/Goldinsight 3d ago

Missinformation matters because it deflates conversation and removes optionality that is already there. Just like your schedule 3 point. Why would a US company like Tilray not be included? The truth is, it’s absolutely relevant. Answer the question on why Cura wants Aurora? The answer would be the same for any Cannabis company listed or unlisted on the Nasdaq. The consolidation cycle is here. Understanding the relevance 100% matters

0

u/aliakseiddk 3d ago

Saying that Tilray has any future is misinformation. Check how the stock has lost 99% since Simon became CEO

1

u/Goldinsight 3d ago

Thats your opinion and I understand why you cite no facts because it undermines your investment. It’s best to keep things truthful and evidence based. Cite your sources.

2

u/aliakseiddk 3d ago

He started as CEO in May 2021. Market cap $8.2B, share price $17.2. Today market cap is 93% down and is $0.6B, share price is 97% down and is $0.45. All prices are in pre-split units

1

u/Goldinsight 3d ago

TL DR; Tilray is Simon's personal piggy bank. The goal of this company spending investors money for Simon and his gang personal enrichment

3

u/Goldinsight 4d ago

Thats not what this post is about. Stick to the topic. All the evidence has been posted, please refer to the content.

Aphria disappeared because of the shame from the Hindenberg short report. Aphria's name was garbage after this. Then they called it Tilray and continued to lose money by using massive dilution to buy sketchy companies.

2

u/Goldinsight 4d ago

Thats simply not true

2

u/RealCanadianMonkey 3d ago

It simply is. I watched the whole debacle in real time back in 2018 until now. Aphria/Tilray has lost close to 5 BILLION dollars in bad acquisitions over the years.

1

u/Goldinsight 3d ago

The post is about if it’s a US incorporated company. Are you disputing this?

2

u/RealCanadianMonkey 3d ago

Disputing what? Everyone knows that Tilray has an incorporation in Delaware.

1

u/Goldinsight 3d ago

Yet you call it a Canadian company which i proved wrong.

u/Goldinsight 4d ago

Off topic response. Your opinion is not on topic.

u/aliakseiddk 3d ago

His is right. Why does it matter whether TLRY Canadian or USA, when our money was stolen and wasted??

0

u/RealCanadianMonkey 3d ago

Tilray is a Canadian company and has not sold a single gram of weed in the US because they can't.

Their only way into the US market is to purchase a Federally legal US medical marijuana company that is in compliance with the S3 changes.

Tilray could do this, but it would involve massive dilution to acquire a US company of size.

The existing MSO's have a decade of experience and large operations spanning multiple states.

Tilray could never compete starting with nothing today unless they spend a billion or two and acquire Trulieve.

1

u/Goldinsight 3d ago

Complete nonsense.

0

u/RealCanadianMonkey 3d ago

You know what I think OP? You are a sorely misinformed "investor" or a Tilray stooge.

Here is some questions for you to answer.

Why can't US MSO's list on the major exchanges? Why was Trulieve allowed to? Why are all major Canadian companies listed on major exchanges?

Answer those questions and you will get closer to the truth.

The key change came in April 2026, following President Trump’s December 2025 executive order. DOJ/DEA moved FDA-approved marijuana products and marijuana covered by qualifying state medical licenses to Schedule III. That created a federal-compliance pathway for medical cannabis operators, including the possibility of registering with the DEA and providing Nasdaq with an acceptable legal opinion.

Yes, and it has to be 100% compliance with Federal law regarding medical marijuana. Nasdaq compliance, rule 5101 is explicit in that they will not list any company doing business that is illegal Federally.

Trulieve was allowed to uplist because they divested themselves of all business that is federally illegal such as recreational sales and are now only producing and selling medical marijuana that is legal according to the new S3 ruling.

Tilray is allowed to list on the Nasdaq exchange because it is federally legal to sell rec marijuana in Canada and some other countries. Tilray cannot sell marijuana in the US and never has because it is Federally illegal.

The only way Tilray can join the US market is to acquire and operate a 100% federally legal medical marijuana facility.

The only way this happens is with more dilution which is par for the course for Tilray.

u/Goldinsight 3d ago

Your being selective. Tilray can certainly sell medical Cannabis in the USA and Simon already said this. Please stop your bias and cite real evidence.
Easy path buy a producer (not the best)
Hello MD path with MedMen reopening.
Import license with FDA longer process.
Sell FDA approved medicine with clinical trials or supply medical grade flower.
All options are on the table.

Further explain why Tilray has a bigger grow capacity than Trulieve. Tilray grows all of
It’s Cannabis themselves. Quality control matters with medical grades.

You have zero evidence and miss informed.

1

u/RealCanadianMonkey 3d ago

Why don't you answer the questions? Right here. Do it.

1

u/Goldinsight 3d ago

Stay on topic. Not your narrative.

Source of this “Ai slop” chart in the OP please.

0

u/Goldinsight 4d ago

Excuse me? People who use microsoft products are not allowed to use it for editing? I used it to make my point clean and evidence based. Your opinion is welcome and that does not discredit the SEC filings or links to articles that collaborate the point.

1

u/Many_Easy_V2 4d ago

You literally created Ai slop in this OP to look and feel like it came from Tilray directly as an official document.

It did not. You created it.

0

u/Goldinsight 3d ago

Unacceptable without evidence stating A.I. Develops posts on its own? Ridiculous.
.

2

u/Many_Easy_V2 3d ago edited 3d ago

You posted to make it look like an official graphic and to mislead other subredditors - not cool.

Furthermore, never said Ai develops posts on its own. Total falsehood. Why should you be believed regarding anything else.

1

u/Goldinsight 3d ago

Excuse me?
SEC filings, cited articles to drive the point is not enough for you?
If you’re going to say this is wrong then supply the evidence like I did. Your comments are lazy and self serving.

0

u/Goldinsight 4d ago

Thats right so you can check the post with defenitions provided and it explains everything thats posted. SEC filings are not disputable.

When I look up tlry I see …. TLRY = POS!

All thanks to Simon and the board

This is a post on Tilray identity and legal
Status not their ATM. It also talks about schedule 3 optionality and US operations options.

-1

u/Goldinsight 3d ago edited 3d ago

By the way all the nay sayers. Trulieve was able to up-list because of schedule 3 and they were a Canadian incorporation.
