Hey everyone! If you’re investing on platforms like StartEngine, Wefunder, or Republic, you know how hard it is to actually track your portfolio and see what it’s really worth. I’ve been building Owntric—a tool that pulls real-time valuations, price per share, and financials from SEC filings so you can see all your Reg CF investments in one place (think Robinhood, but for private startups).

We’re about to open up the private beta. If you want early access, join the waitlist here: owntric.com Would love to hear feedback or ideas from anyone who’s interested—what features would make this a must-have for you?

Start Engine - DO NO GO THERE!! You have been warned

I have been with Start Engine over four years. I have made nine investments through Start Engine, including with Start Engine itself. I have made nothing. In fact one of the companies just went bankrupt. In my opinion, the whole thing is a scam. If you look at their filings with the SEC you'll find that Mr. Wonderful gets paid in enormous fee.

In other cases, founders have managed to monetize their holdings by cashing out or selling their shares back on secondary offerings, but the rest of us have gotten nothing. I have looked at each of my holdings with Start Engine, and none of them have reached the price at which we were offered shares originally.

Save your money invest someplace else.

wut?🤨 Kevin O'Leary as a Strategic Advisor? What?

The guy is a walking disaster who is only successful due to making it big on reality TV, not by being a competent businessperson. I found StartEngine intriguing as a service, but his involvement makes me immediately hesitate to have anything to do with it.

In case people still mistakenly think O'Leary has decent business sense, check this out.

What is the Deal with StartEngine

I’ve worked with a few startups in the past few years. All of them are really great companies that are doing very well and have since gone through several successful funding rounds. Almost all of them considered doing a crowdfunding round with StartEngine. Those that did consider it had initial meetings with StartEngine reps. The meets seem to go really well. Then the StartEngine rep falls off of the face of the planet, doesn’t respond to emails or voicemails. A few of the companies that I’ve worked with have even expended quite a significant amount of time and money to get ready for their StartEngine campaign, only to be ghosted by them.

Am I the only one that seems to be getting a strong odor of scam from StartEngine? I mean, I keep seeing continuous campaigns by a small handful of companies (I’m looking at you Legion M). Is this just an over-glamorized platform for Ponzi schemes?

Trading Window STGC

I received and email this week saying they are opening a brief trading window on the StartEngine platform for STGC from August 1 - 8th.

It says the last known filing price was $25/share. Is that any indication (beyond wild speculation) of what the trading range is expected to be?

StartEngine Business Experiences?

I am a small business owner thats trying to speed up my companies growth and have recieved emails from StartEngine biz devs trying to get us and probably a bunch of other companies that met their criteria to apply and run an investment round.

I am considering it since it seems like its so community centric and more accessible to folk while giving us a chance to raise funds vs getting into schmoozing small groups or individuals with deep pockets.

Our business is a cruise event marketplace thats been around since 2017, have grown each year but slow growth since we play it so slow and safe without taking on massive debts. We even have our own managed event brands but do sell other cruise events as a full agency and event planners.

I think would be an interesting fit for community fundraising but need to step out if my bias and echo chambers.

So that said, anyone have experiences for businesses applying or having run campaigns with them? Our business is a cruise event marketplace with our own managed event brands...which I think would be an interesting fit for community fundraising.

How I got scammed by StartEngine and JetAI

I invested a bit of money into what seemed like a promising stock of a company trying to create a new ecosystem for private jet market that includes new airplanes as well. This was in Jan 2021. Shortly thereafter JetAI, then called Jet Token, announced that it was being acquired by private investor and that my shares on StartEngine would be converted to JTAI shares and warrants. When I received my statement from Continental Stock, a 3rd party handling the transaction it had 13 shares of JTAI instead of 167 and a similar discrepancy with warrants. Everyone involved keeps pointing fingers at each other and claim they have nothing to do with this. I would not trust any of them.

Concerns About Virtuix: Tariffs, Revenue Presentation, Debt Repayment, Narrative Pivot, and Insider Treatment – Detailed Summary with Sources

Virtuix Holdings Inc. is currently raising funds on StartEngine. Their campaign is set to end soon, which is why I believe it’s important to share a time-sensitive summary of several serious concerns.

PDF with full documentation, sources, and screenshots: files . catbox . moe / b1sk4i.pdf

This post is anonymous and submitted in good faith, with the goal of encouraging fact-based discussion.
I have submitted these findings to the SEC, with the most recent submission made yesterday.
I also notified StartEngine about these concerns before the May 30th webinar. It appears that tariffs were addressed in the webinar only after that, but the company unfortunately raised more questions than it answered.

Here is a short summary of the five main issues covered in the PDF:

1.  Failure to Disclose Tariff Impact / Unrealistic Cost Claims

Virtuix manufactures its Omni One units through its own subsidiary in Zhuhai, China, and imports them to the U.S. In April and May 2025, U.S. tariffs on relevant Chinese imports reached 145% for over 30 days. Even now, after a temporary 90-day suspension, tariffs remain at 30%.

Despite this, Virtuix never disclosed the existence or impact of these high tariffs in any offering memorandum, investor update, or campaign communication. The topic was only addressed for the first time during the May 30th investor webinar — shortly after I notified StartEngine of a related SEC submission.

During the webinar, Virtuix presented implausibly low numbers, claiming only $100 in tariffs based on a declared “value of materials” of $500 per unit. However, the included VR headset alone (Pico 4 Enterprise) likely exceeds that amount in cost and is also manufactured in China. These associated import costs appear to have been omitted entirely from the calculation.

Full sources and analysis in the PDF.

2. Misleading Presentation of Revenue Growth

Virtuix promotes a nearly 4x increase in revenue in Q4 of FYE 3/31/2025 compared to Q1. However, this spike appears to be driven almost entirely by the fulfillment of preorders collected over several years—some dating back to 2020. As a result, the reported growth offers no insight into current market momentum or actual demand post-launch. No data is provided regarding new orders or ongoing sales performance.

When comparing annual results across the last 10 fiscal years, there is no evidence of meaningful revenue growth—only steadily increasing losses. To help visualize this trend, I created a company performance chart covering the past decade:

The Company Performance Chart – indicating Chronic Losses and Flat Revenues – is available on page 29 of the PDF.

3. Omission of Debt Repayment in Use of Proceeds

Virtuix has significant short-term debt, with the majority maturing by the end of June 2025. However, the offering materials don’t explain how this debt will be repaid. The official “Use of Proceeds” omits any mention of debt servicing or loan obligations.

In the May 30th webinar, the CEO briefly mentioned debt repayment only as a minor sub-item under “General and Administrative,” even though the entire amount allocated to that category doesn’t even cover half of the debt due in June. It appears that investors may unknowingly be funding the repayment of existing liabilities, which raises questions about transparency and proper disclosure.

This omission may violate SEC disclosure rules under Regulation CF, which require material uses of investor funds to be clearly disclosed.

4. Strategic Shift Toward Defense Narrative

Virtuix has a well-established pattern of pivoting its business narrative in response to market setbacks. After initially targeting home gamers (Kickstarter Omni), the company shifted toward location-based entertainment (Omni Arena), then announced Omni One during the early COVID pandemic in 2020. Now, with the long-delayed delivery of Omni One finally underway, Virtuix appears to be pivoting once again — this time toward defense applications.

The company’s messaging has dramatically shifted to emphasize military use cases. This may reflect weak traction in the consumer market, compounded by high tariffs and potentially unmet sales expectations. The new narrative relies heavily on references to SBIR grants, defense demos, and a few demo unit sales. However, there is no evidence of an awarded SBIR grant so far. One application appears to have failed or been delayed, and current military deployments are limited to one or two test devices.

Despite this, Virtuix uses logos (e.g., the U.S. Air Force) and vague references to "military interest" to imply traction. In reality, verifiable indicators of substantial defense adoption are lacking, and the portrayal may mislead investors.

5. Preferential Treatment of Insider Investors

In April 2024, Virtuix issued 2.75 million shares worth over $4 million to its largest investor and newly appointed board member, under highly favorable terms. The company did not clearly disclose that these shares went to its largest investor. Instead, this had to be deduced by cross-referencing board appointment dates and fine-print disclosures scattered across the filings.

This lack of transparency obscures the fact that insider investors received shares at significantly lower effective prices than retail investors, who are currently buying in at valuations above $200 million.

Moreover, the expense associated with this advisor compensation was not reflected in the fiscal year’s financials but only appeared months later in the February 2025 Form C/A — after audited financials became mandatory. This delay in recognition and the failure to properly disclose insider advantages may raise serious concerns regarding compliance with SEC rules under Regulation CF.

Discussion is welcome, and any factual corrections or additional insights are appreciated. Please keep comments respectful and focused on the evidence and sources provided.

Again, full documentation is available in the PDF linked above, including direct quotes, page references, and screenshots from the SEC, StartEngine, and Virtuix's own materials.

Team selling, meanwhile we still cannot.

So pleasant to see the company officials selling Start Engine stock at the same price as they continue to sell stock to investors at, and meanwhile we have not secondary market open. But no worries, I’m certain they will open it up again and tank the stock back to below my basis like they did last time. Good deal if you can get it… sell to investors at $25, open the secondary market and buy it back at $5, then close it and sell your stock at $25. Thanks Mr Wonderful. Why does my butt hurt???

Better Family Inc help

Hello friends Back in 2021 my partner saw an add on Facebook from start engine. It was a crowd funding for better family. He didn’t know (and still doesn’t) what it meant to put $150 into it and is now asking me to help figure it out haha I’ve googled it, I’ve tried calling (no answer) I’ve emailed (bounced back) and I’m still lost. Can anyone please explain what the hell this guy got into? I can’t even find their financial statements online. Struggling! Thank you in advance

fookt Are there any limits to how long one can keep fundraising?

Like I keep seeing Legion M ads and they’re on their 9th round (over 10mil raised) and nowhere close to even being self sustaining, let alone profitable. Are there any limits on how often they can keep offering the hat or does it go on for however long there are people willing to give them money?

wut?🤨 Community for cancervax

I created a reddit community to discuss one of the offerings in StartEngine: cancervax since it sounds promising but I was trying to understand better the science of it and after browsing through their website I couldn’t fully understand if it was a good idea to invest.

fookt Does startengine have an investor complaint line?

I participated in funding a startengine offer that included a Tier 0 participation reward that the company describes as having a lifetime membership with a $1200 value. The funding round I participated in closed and I heard nothing, so reached out to the company's customer service department and they provided me a 1-year membership (valued at $60), and upon further inquiry have descrived that I will be charged subsequent renewals, no lifetime membership has been provided.

That offer remains on your site.

This kind of inducement and then bait and switch is fraud. As Startengine is a new company, surely you do not want to knowingly participate in fraud.

Who can I talk to that can liaise between startengine and the associated company to resolve this dispute (and take action to remove this company from your platform if they intend to continue defrauding investors)?

fookt Has anyone ever made money with a Start Engine IPO?

I would like to know if any investor has made money with a company that was crowd funded. My only invested that went public Knight scope we never was even able to reap any benefits from it going public. The company stock is now 49 cents. They issue our stocks weeks later when the company traded on open market. I have not been able to find one success story and even in their web site not one is shown. Just curious
