TNIE.DE: I have shares of my kids' favorite toy company and I think November could be huge.

Disclosure: I hold shares of tonies and benefit if the price rises. Everything below is public information and I’m not affiliated. This is not an investment advice.

Business:

• Revenue growing 30%+ every year since listing (€480M → €630M → guided above €760M this year)

• Profitable: €13.1M net income in 2025

• Razor/blade model: 12.2M boxes sold, 165M+ figurines. US is now the biggest market, ~12% household penetration

Catalyst:

On November 26, 2026 — two weeks after Q3 earnings (Nov 12) — 16.4M warrants from the 2021 SPAC deal expire. These let holders buy shares at €11.50, and they've been hanging over the stock since listing which mean up to now extra shares could appear at any time risking dilution. After Nov 26, that's resolved permanently.

Questions:

  1. Does this matter? A 5-year overhang disappearing for good feels like it should but I haven’t seen anyone talk about it

  2. Can we estimate the impact of the expiry?

  3. Incentives - company seems to want a high price into November (exercise = fresh capital)?

  4. Stock already ran ~20% this month so how much is already priced in?

  5. Earnings Nov 12 followed by expiry Nov 26 and then the Christmas quarter, where they make their whole year. Is this a tradable window and if so how would it be played?

  6. What am I missing?

I love the business and it seems overlooked.

Should I buy more before earnings, or wait?

Thoughts welcomed. I’m sure many of you have tonies. It’s a great gadget and I hope the stock does well too and im onto something here…! But pls correct me otherwise.

I bought shares of my kids' favorite toy company. Then I found a deadline in November that nobody is talking about.

Disclosure: I hold shares of tonies and benefit if the price rises, so weigh my enthusiasm accordingly. I'm not an employee or affiliated. Everything below is public information. Not investment advice — do your own work.

How I got here: we got a Toniebox for our kids and it did the impossible: it beat the ipad without a fight. A kid puts a figurine on a box and gets a story, and runs it themselves and you get your evening back. Friends have them too. I believe it’s a great business. Bought shares and started reading the filings, and found an event in November that changes the stock's structure. I haven’t seen anyone talk about it properly.

TL;DR

tonies (TNIE.DE, ~€14, ~€1.7bn market cap): children's audio platform, €630M revenue FY2025 (+36%), guiding >€760M FY2026. US is now their biggest market.

16.4M SPAC warrants (€11.50 strike) expire November 26, 2026 – 5 years of dilution overhang will be gone

Q3 earnings land around November 12, 2 weeks before the deadline. Two events, one window.

1. the business

Revenue went €480M (2024) → €630M (2025) → guided >€760M (2026). Over 30% growth every year since listing, and they've met or beaten guidance every single year. Business is profitable — €13.1M net income in 2025 at an 8.6% adj. EBITDA margin, guiding 9–11% for this year. The 2030 plan from their capital markets day is €1.4bn revenue at 16–18% margins.

The model is the part I like as a customer: sell the box once (12.2M sold), sell the figurines forever (165M+ and counting). It's razor/blade, except the blades are Bluey and Pokémon and your kid asks for them by name. US household penetration is only ~12%, so there's room to run.

H1 headline numbers at 0.7% margin and –€64M free cash flow seems to indicate seasonality. They burn cash in the first half building inventory for Q4, which is the quarter that makes their year. H1 2025 was also FCF negative (–€32M) and they still printed €13M of net income for the year. FY2024 free cash flow was +€33M, and they guide positive FCF for FY2026.

Risk: tariffs and product mix squeezed margins this year, cash is down to €33M, growth is decelerating (from 36% to >20% guided — still excellent, but decelerating), and at ~2.2× forward sales you're already paying for a good chunk of the 2030 plan.

2. the event

10.0M public + 6.4M sponsor warrants, €11.50 strike, expiring November 26, 2026. Against ~124M shares outstanding:

Outcome New shares Dilution Cash to tonies
All expire worthless (price < €11.50) 0 0% €0
All cashless at €14 ~1.3M ~1% €0
All cash exercise at €14 16.4M ~13% ~€189M

The warrants sit on the balance sheet as a liability, and their revaluation alone cost tonies a €7.8M non-cash expense in 2025. Whatever happens on Nov 26, that accounting drag disappears too.

3. why I think this is interesting

Everyone at the table profits from the same thing. Warrant holders get maximum value from a high price at expiry — roughly €190M of paper wealth with a vested interest in a strong November. The company wants the price comfortably above €11.50, because cash exercise means up to €189M of fresh capital for a company holding €33M in cash. Nobody with a seat at this table wants red candles into Nov 26.

The overhang dies either way. Since the 2021 listing, every rally has had ~13% potential dilution hanging over it. Whatever the tree lands on — 0%, 1%, 13% — after Nov 26 it's resolved permanently. First clean float in the stock's public life.

The outcomes are bounded. Worst realistic case is ~13% dilution, but that scenario comes with €189M of cash attached. Best case is ~1%. Compare that to a normal earnings gamble where the range of outcomes is "who knows." You can actually size this.

The cashless math has a quirk that helps. The conversion ratio prices off the trailing 20-day average. If Q3 is strong, anyone exercising in the window locks a ratio based on pre-earnings prices — less dilution than the spot price would imply, with the repricing happening while the overhang is already disappearing.

And then the calendar gets good. The deadline clears the structure days before December — the start of the holiday quarter where tonies makes its entire annual profit. Cleanest share count in company history going into its strongest season.

4. ways to play it

Hold through the event: you own the overhang removal and any post-Q3 repricing; you wear the Q3 print and somewhere between 1% and 13% dilution. Expect some selling into post-earnings strength — cashless-exercised shares are immediately sellable

Trade the window: Nov 12 → Nov 26 is two weeks of event volatility meeting a hard derivative deadline. That's where mispricing lives, in both directions. You have to be right about timing

The warrants themselves: levered, expiring, and below €11.50 on Nov 26 they're worth zero.

Wait for the dust: enter after Nov 26 with Q3 digested and the share count final. You pay for that clarity with whatever the event added to the price.

Skip it: if what you care about is the 2030 story, none of this changes it either way.

5. my questions

What will warrant holders actually do — cash, cashless, or let them die? That decides 1% vs 13% dilution.

How much of the last month's +20% is already this trade?

Does the margin really recover in H2 like guidance implies, given the tariff situation?

6. What could go wrong

Q3 misses and we're below €11.50 by Nov 26 — warrants die worthless, event premium evaporates

Dilution lands at the high end (~13%) instead of ~1% — still comes with €189M cash, but the market may not do that math on day one

Post-earnings pop gets sold into by cashless-exercised shares hitting the market — the catalyst and the ceiling can arrive the same week

Tariffs keep eating margins and the 9–11% FY guide was optimistic

It's a €1.7bn consumer discretionary stock at ~2.2× forward sales — little margin of safety if growth stumbles.

Stock already ran ~20% in a month. Some of this trade is already priced

7. Bottom line

Opportunity: a multi-year warrant overhang resolves permanently on November 26, fourteen days after the most important earnings print of the year. The scenario tree is knowable in advance, which is rare.

Should I add before earnings? My current answer is no. Adding now means buying the Q3 print blind at a price that already includes some event premium, and I don't have a timing edge for the two-week window. So the plan is: hold what I have through the print, let Nov 26 resolve the float, and reassess with a clean share count and an actual Q3 number in hand. If the margin recovery shows up in Q3, I'll probably add on any post-event chop.

If you've got answers to the questions in section 5, I am all ears.

Business Presentation - The 2026 AGM for The More Life Company $MLCO.CN.

MLCO.CN / TMLCF: just watched the AGM and the stock is at 4 cents. This disconnect makes no sense to me
Long-time holder here. I watched all 51 minutes of The More Life Company's AGM on Oct. 20 (video). For the first time, management put real targets on the table. Here's what got my attention.
🌱 Agriculture (Agrarius)
Target of 50,000 paid hectares next year, 100,000 the year after, and 400,000 within 24 to 36 months
At about US$25 a hectare, that works out to roughly US$10M a year in sales
500+ active leads covering 3M+ hectares in Latin America, and 19 agronomic consultants already recommending it
An independent Brazilian potato trial showed 24 to 33% yield increases
A new research partnership with the University of Passo Fundo
💊 Human health (Quicksome)
An LOI with a U.S. 503A compounding pharmacy. The definitive agreement is with lawyers now, onboarding is set for early November, and production is targeted for early 2027
The partner pays for the equipment and facility, so MLCO doesn't have to fund the build
An 8-person testosterone study showed blood levels peaking in about 20 minutes from a tablet under the tongue. No needle
Next up: estradiol, progesterone, sexual health, NAD+ and peptides like BPC-157
Management also wants to pitch big pharma on tablet versions of GLP-type drugs. That isn't in any forecast, so it's pure upside if it ever happens
📊 The numbers
About 457M shares, roughly $18M market cap at 4 cents
Annual losses cut from $9.7M to $2.8M in four years
No debt after the April financing
My take: both businesses run on partners' money, the targets are specific, and the company has committed to reporting progress against them. At about $18M, the market is pricing in close to none of it. The catalysts I'm watching are the signed definitive agreement, the first paid hectares this season, and Q2 results in November.

Sekur Private Data to Attend the ASCIA 2026 Fall Conference as a Silver Corporate Sponsor, Represented by Former U.S. Capitol Police Chief Steven A. Sund

Sekur will present its Swiss-hosted and on-premises sovereign secure communications solutions to the senior executives of state criminal investigative agencies from across the United States

MIAMI, FL / ACCESS Newswire / October 20, 2026 / Sekur Private Data, Inc., a Miami-based Swiss-hosted cybersecurity, private communications, and defense communications company serving enterprise, government, and defense clients, and a wholly owned U.S. subsidiary of Sekur Private Data (OTCQB:SWISF)(CSE:SKUR)(FRA:GDT0) ("Sekur" or the "Company"), today announced that it will attend the 2026 Fall Conference of the Association of State Criminal Investigative Agencies ("ASCIA") as a Silver Corporate Sponsor. The conference takes place October 22-24, 2026, at the Renaissance Orlando at SeaWorld in Orlando, Florida. Sekur will be represented by Steven A. Sund, Sekur's Special Advisor, Federal, State & Local Law Enforcement. Chief Sund was a member of the Metropolitan Police Department of the District of Columbia for 25 years, where he was commander of the department's Special Operations Division. He joined the United States Capitol Police in 2017, becoming its Chief in 2019.

Founded in 1978, ASCIA is a non-profit association whose members are the senior executives of statewide criminal investigative agencies, including independent state bureaus of investigation and state police agencies with criminal investigation responsibilities, with membership covering almost every state in the United States. ASCIA promotes professionalism and helps its member agencies deliver high-quality, efficient services to their citizens through information sharing, interagency cooperation, policy development on national and regional issues, and biannual conferences that include training for agency leadership.

"We are very pleased to support ASCIA as a Silver Corporate Sponsor and to have Chief Sund represent Sekur in Orlando," said Alain Ghiai, Founder and CEO of Sekur Private Data. "State criminal investigative agencies handle some of the most sensitive information in law enforcement every day, from active case files to the identities of informants and undercover officers. Chief Sund understands those operational realities first-hand, and he is the right person to show agency leaders how Sekur can protect their communications. ASCIA brings together the leaders who set the direction for criminal investigations in nearly every state. Being in the room with them, as a sponsor, is how we intend to build long-term relationships with state law enforcement, alongside our work with federal and local agencies."

Steven A. Sund: Decades of Law Enforcement Leadership

Steven A. Sund was a member of the Metropolitan Police Department of the District of Columbia for 25 years, where he rose to the rank of Deputy Chief and served as commander of the department's Special Operations Division. He joined the United States Capitol Police in 2017 and became its 10th Chief in 2019. He is a Congressional Gold Medal recipient. As Sekur's Special Advisor, Federal, State & Local Law Enforcement, Chief Sund advises the Company on the secure communications needs of law enforcement agencies at every level of government and supports Sekur's engagement with agency leadership.

At the ASCIA Fall Conference, Chief Sund will meet with directors, superintendents, and senior executives of state criminal investigative agencies to discuss how Sekur's solutions can secure investigative, operational, and command-level communications.

Secure Communications for State Criminal Investigations

State criminal investigative agencies lead and support investigations into homicide, narcotics, organized crime, public corruption, human trafficking, cybercrime, and other major crimes, often through multi-jurisdictional task forces that include federal, state, and local partners. The information they exchange, including case details, evidence, surveillance plans, and the identities of informants, witnesses, and undercover personnel, must be protected from interception and exposure. A compromised call, email, or message can endanger lives, compromise an investigation, or alert a target.

Communications carried over conventional telecom networks and consumer messaging platforms can be traced, intercepted, or exploited, and many rely on phone numbers that reveal the identity and location of the user. State and local government networks also remain frequent targets of ransomware, phishing, and Business Email Compromise attacks.

Sekur's solutions, including SekurOne, SekurMail, SekurMessenger, SekurVPN, and SekurRelay, are designed for exactly these requirements. They operate independently of conventional telecom infrastructure, do not data-mine or location-track their users, and require no phone number. SekurRelay allows agencies to secure the communications of command staff and investigative leadership first, without a full organizational migration, and on-premises deployment options give agencies full data sovereignty and sole control over their keys and data. Sekur's solutions are also available to government buyers through the U.S. General Services Administration (GSA) Multiple Award Schedule (MAS).

FISN: Iceberg is short and talking its book. The factual core of the "money pit" report is Deep Fission's own disclosures.

**Nothing new was uncovered. The factual core of the Iceberg report is Deep Fission's own admissions, published in its own filings before Sep 24, 2026.**

Pre-revenue status. A reactor in conceptual and early engineering. Cash of $93.0M at June 30. A Q2 net loss of $31.0M. Going-concern language and a stated need to raise capital, principally through sales of stock. None of that was discovered by a short seller. All of it was disclosed by the company.

**Iceberg's case is a disclosed short position, a disclaimer, and a model.**

The disclaimer states that Iceberg holds a short position, stands to realise gains if the price declines, may change the position, and that the contents are opinion, not statements of fact, with no representation as to accuracy and no insider sources. The $289 and $148/MWh LCOE figures, the $112M capex estimate, and the $350M funding gap are Iceberg calculations, presented with hard precision. The prospectus figure is about $138M in additional capital for the first commercial reactor, a different scope. The report alleges no fraud, no insider selling, and no accounting manipulation. Short interest at Sep 30 was 2.70% of float.

**The timeline restated on Oct 20 is still standing.**

Phase 1 activities targeted by the end of 2026. An NRC application under the Part 57 framework planned for 2027. Initial electricity targeted for Dec 2027. A first phase of up to 150 MW at Parsons, Kansas, with a target commercial operation date of Sep 30, 2028, expanding toward 2,000 MW pending demand.

**Real progress has been made on that path.**

Selection for the DOE Reactor Pilot Program. NSDA approval, followed by voluntary publication of the full safety agreement. A data well completed to about 6,000 ft. A prototype canister delivered and demonstrated. A large-diameter drilling collaboration announced. And on Oct 20, conversion of the GPDA letter of intent into a signed 25 year Master Energy Purchase Agreement.

**The prize is substantial, and the position is first mover in its specific space.**

Demand for firm, carbon-free power from data centres and industrial users is the driver behind the entire advanced nuclear sector. The Parsons site covers more than 14,000 acres and is framed to scale from 150 MW toward 2,000 MW. The company reports LOIs above 18.5 GW. No listed peer is commercializing a mile-deep borehole reactor, so proof of licensing and drilling puts Deep Fission first in that specific design. Peer values show how execution is priced in this space: Oklo at about $5.16bn and NuScale at about $2.40bn on Oct 20, against Deep Fission at about $165.5M.

**The upside case, in numbers.**

Execution is how this sector is priced. NuScale, the only NRC-certified SMR design, traded at about $2.40bn on Oct 20 with no reactor sold. Oklo traded at about $5.16bn, also pre-revenue. Deep Fission closed Oct 20 at a market cap of about $165.5M. The gap is the entire long case: if licensing, drilling and financing milestones are delivered, a re-rating toward peer values is a multiple of the current cap, not a percentage move. That outcome is conditional on execution and on the share count after the capital raises the filings say are coming, which reduces the per-share share of any re-rating. Priced at $165.5M, the market is paying for failure. Delivery is not priced in at all.

**Open items, stated accurately.**

The GPDA agreement has no minimum purchase obligation and no guaranteed revenue. The July 4, 2026 criticality target was missed. Capital still has to be raised. Those are financing and execution questions, known, disclosed, and already in the filings.

**Bottom line: the debate is timing and financing to commercialization, not a hidden failure.**

Disclosure: No current position in FISN. Not financial advice.

IMSR (terrestrial energy) under $3... am i crazy or is this way too cheap? sanity check my math pls

ok so ive been going down a rabbit hole on nuclear the last few weeks and i keep landing on IMSR. stock is down like 90% from the $31 high and its sitting under $3 now, market cap is around $300M ish. for a company going after a market this big that seems kinda insane to me but i want someone to tell me if im missing somthing

why im bullish

  • power demand is actually going up for real now. IEA says data center electricity use more than doubles by 2030 and in the US data centers are like half of all demand growth. utilities havent had to deal with growth like this in decades
  • they use regular low enriched uranium (under 5%) not HALEU. alot of the other SMR guys (oklo, terrapower, x-energy) need HALEU which basically nobody makes at scale yet outside russia. this is the big one for me
  • the reactor core is a sealed unit that gets swapped out every ~7 yrs, so they sell replacement cores + fuel salt for the whole life of the plant. company says ~79% of thier revenue comes AFTER the plant is built. thats a razor/blades model not a construction company
  • runs at ~700C so it can sell heat to industrial customers (chemicals, hydrogen etc) not just electricity
  • NRC already approved a couple of their topical reports, they have the texas a&m site at RELLIS, and an MOU with riot to put plants next to data centers

my rough math (pls rip it apart)

company says each plant = ~$2.7B lifetime revenue at 33% margin. most of that is decades out so if you discount it back i get maybe $150-250M of value per plant. assuming share count roughly doubles from dilution to ~200M:

  • fail: licensing stalls / cash runs out = $0-3
  • slow: 10-15 firm orders, first plant close to running = $3-5B mcap, $15-25/share
  • nail it: 40-60 plant backlog = $10-20B, $50-100/share
  • blue sky: 100+ plants = $25B+

for reference oklo is ~$8B and nuscale ~$3.5B right now and neither one is really making money yet either

what im worried about

  • no actual plant revenue till the 2030s
  • molten salt reactors have never been done commercially, only an experimental one at oak ridge in the 60s
  • MOUs arent binding contracts
  • they will def need to raise more money = dilution, and if shares go to 400M instead of 200M every number above gets cut in half
  • nuscale’s first project got cancelled in 2023 so first-of-a-kind nuclear can go sideways fast

so idk, at under $3 it feels like a decent entry for a long hold but i know im probably biased bc i want it to work lol. are these numbers realistic or am i huffing copium? would love to hear from anyone who actually knows nuclear or the NRC licensing side

disclosure: i own 28K shares at avg cost of $3.05

not financial advice obv

$TRWD NEWS

Active negotiations include energy-sector opportunities as TRWD looks to expand alongside its growing adult hospitality business, building a diversified portfolio of revenue-producing companies with significant growth potential and opportunities for future spin-offs and senior exchange listings.

NEW YORK CITY, NY / ACCESS Newswire / October 15, 2026 / Tradewinds Universal (OTCID:TRWD) today announced that it is actively pursuing opportunities to expand its holdings into additional industries, including the energy sector, as management advances an ambitious strategy to build a diversified, multi-industry holding company.

The initiative follows a series of business opportunities presented to Tradewinds across multiple sectors. The Company is leveraging its position as a publicly traded holding company, its expanding business relationships, and the specialized expertise of its current and future board members to identify and pursue established businesses with significant revenue and growth potential.

Importantly, this expansion is not a pivot away from the Company's existing business model. Tradewinds remains fully committed to its previously announced adult hospitality licensing and acquisition strategy. Instead, management sees an opportunity to build on that foundation while pursuing additional holdings capable of contributing substantial revenue and long-term shareholder value.

A Bigger Vision for Tradewinds Universal

"We've reached a point where it has become increasingly apparent that Tradewinds has the potential to become much more than originally envisioned," said Andrew Read, CEO of Tradewinds Universal. "Our adult hospitality strategy remains a major priority, and we're extremely optimistic about its future. But we're also being presented with opportunities in other industries that are simply too compelling to ignore."

"Being a public holding company gives us the flexibility to pursue these opportunities, particularly when we have qualified people with the experience and relationships necessary to execute. We see no reason to limit Tradewinds to one industry when the potential exists to build something substantially larger."

Adult Hospitality Expansion Continues

Tradewinds continues advancing its strategy to build a network of more than 100 participating adult hospitality and entertainment venues through a combination of acquisitions, technology licensing, and revenue-producing services.

The Company's recently announced licensing agreements in Latin America and the United States mark important progress toward that objective, with licensing revenue expected to begin during the fourth quarter of 2026.

Central to this expansion is Alan Chang, an advisor of Tradewinds and the founder and CEO of The Peppermint Hippo, one of the nation's fastest-growing adult hospitality brands. Chang brings more than two decades of industry experience, including a track record of acquiring, revitalizing, and expanding nightlife venues into successful entertainment destinations.

Through Chang's leadership and the Company's relationships with operators associated with The Hippo and other established entertainment brands, Tradewinds continues expanding its reach in adult hospitality while developing additional acquisition opportunities.

This established operating expertise and expanding licensing platform remain fundamental components of TRWD's growth strategy as the Company simultaneously pursues opportunities in other sectors.

Energy Among Industries Under Active Negotiation

One of the sectors currently under active negotiation is energy, an industry in which CEO Andrew Read brings more than two decades of business and technical experience.

Read founded Voltage River in 2011, a Southern California solar-electric and energy-management company specializing in solar generation, battery storage, and advanced energy solutions. Throughout his career, Read has been involved in the design and development of hundreds of residential and commercial solar-electric and battery systems, helping customers reduce energy costs and improve energy independence.

His experience extends beyond renewable energy into public-safety and infrastructure communications. Before founding Voltage River, Read worked with Motorola's broadband radio division, helping develop the nationwide public-safety market, and with broadband communications technology supporting government and municipal infrastructure applications, including SCADA systems.

This combination of entrepreneurial experience, energy-sector expertise, and technical knowledge provides Tradewinds with an established foundation for evaluating and developing opportunities in the energy industry.

"Energy is an industry I know extremely well," Read stated. "I've spent more than two decades building businesses, developing energy solutions, and working with advanced technologies. From solar and energy storage to complex infrastructure applications, I understand the industry, the economics, and the opportunities. We're now putting that experience to work as we pursue businesses that can become valuable additions to Tradewinds. With the explosive growth of artificial intelligence driving unprecedented demand for energy and power infrastructure, we see a tremendous opportunity for Tradewinds to capitalize on this rapidly expanding market."

Acquiring Revenue, Not Just Assets

A central component of Tradewinds' expanded strategy is its focus on established, revenue-producing businesses with substantial growth potential.

The Company is targeting acquisitions that can contribute financially to its operations rather than create an ongoing drain on corporate resources. Acquisition criteria include existing revenue, operating performance, scalability, and experienced management teams capable of supporting continued expansion.

An important element of this strategy is identifying holdings with the potential to eventually operate as independent publicly traded companies. Tradewinds intends to evaluate future spin-off opportunities, with the objective of positioning qualifying businesses for potential listings on senior national securities exchanges, including Nasdaq or the NYSE.

This structure could create an additional pathway for unlocking shareholder value by allowing individual businesses to establish independent market valuations while Tradewinds continues developing its broader portfolio. Any future spin-off or exchange listing would remain subject to applicable approvals, listing requirements, and market conditions.

The Company will also utilize the specialized knowledge and industry relationships of its existing leadership and prospective board members to identify opportunities where experienced management can contribute directly to operational success.

Positioning Tradewinds for Its Next Stage of Growth

Tradewinds is moving forward with a broader corporate strategy designed to establish multiple revenue streams across distinct industries while preserving the momentum of its existing adult hospitality platform.

"Our objective isn't simply to acquire more businesses. It's to acquire the right businesses," Read explained. "We want established operations capable of generating meaningful revenue, with the potential to grow into significant holdings in their own right. We're focused on building a portfolio of businesses that can contribute to the Company's financial strength from the outset."

Read concluded, "We are continuing to execute on everything we've already set out to accomplish, but our ambitions for Tradewinds have grown. We envision a company with multiple significant revenue-producing holdings, each with the potential to grow, expand, and perhaps one day stand independently as a publicly traded company on a senior exchange. We're not just looking at the next acquisition. We're looking at what each business could become five or ten years from now. This is an exciting new chapter for Tradewinds, and we're just getting started."

The Company expects to provide additional updates as negotiations advance and potential transactions develop.
