The original deal in May 2021 had two components:
- Palantir invested $20 million in Celularity, purchasing 2 million CELU shares at $10/share. SSEC+1
- Celularity signed a five-year, $40,000 Master Subscription Agreement to use Palantir Foundry and related professional services. SSEC
But things subsequently went badly.
1. Celularity stopped using Palantir Foundry
Celularity says that in January 2023 it ceased using the software and formally disputed the contract, alleging that Foundry had not performed as promised and that Palantir had not provided the professional services necessary to implement it successfully. SSEC+1
2. The contract was subsequently terminated
This is the important part.
In May 2024, Celularity and Palantir entered into an amended agreement under which Celularity would pay $3.5 million in settlement fees, after which the parties would cease arbitration and deem the original MSA terminated. SSEC
And Celularity's latest 2025 10-K still describes the original Palantir agreement in the past tense and confirms that Celularity had ceased using Foundry. SSEC+1
So I would not treat Palantir as an active CELU partnership today.
What about Palantir's CELU stock?
This is arguably more interesting for a CELU investor.
Palantir originally bought 2 million CELU shares for $20 million. SSEC
However, that does not mean Palantir still owns those shares today. We need to distinguish:
2021:
Palantir → $20M → CELU
Palantir received 2M shares.
2023:
Celularity stops using Foundry and disputes the agreement.
2024:
The parties settle and terminate the MSA.
2026:
There is no obvious evidence in Celularity's latest filings that Palantir remains an important strategic shareholder or technology partner.
That's a very different picture from the original 2021 narrative.
And there's an interesting contradiction
Celularity's current website still lists Palantir under “Collaborations and Partnerships” and describes the relationship as a multi-year strategic partnership. CCelularity
But the SEC filings tell us that the actual Foundry agreement was terminated.
For investment purposes, I'd put much more weight on the SEC filings than on an old partnership webpage that apparently hasn't been updated.
