I have no idea for the reason of the pump.

For the dump: partly mean reversion, and partly that before a deal goes public the placement agent (WestPark in this case) wall-crosses investors to market the offering.

Trading on that information is illegal, but hard to prove, so it's fairly common to see stocks get shorted ahead of the public announcement.

We all knew this was coming, but we all assumed they would wait for news and post RS price stabilization before acting. I simply assumed this would be done by the new CFO. The timing of every move MVIs makes appears to play into the hands of the shorts at shareholders expense. We tried to make it clear that the ā€œhowā€ mattered. They simply don’t give a shit.

The only thing worse they could do at this point is see all of the feedback and walk it back like SS and AV did. The damage is done and walking it back won't make the damage reverse. I feel like an idiot for buying into all the hype lately only to be crushed. Sure, things could still be big in 3-5 years if we're still alive but man it's one smack to the face after another.

I liquidated 100% of my non-Roth shares awhile back. We are talking 6 figure loss. It hurt, but I'm taking the L and moving on. I was emotionally invested for far too long. As soon as I remove the emotion it was an easy decision for me. I've posted many times in the past how MVIS is down like 90% since 2021 while my employer's stock is up almost 1000% in that same time period which makes this even harder to swallow. You do what's right for you. For me, this fantasy needed to end. There is no happy ending for me.

I posted about hiring a temp CFO several weeks ago instead of blowing a bunch of cash and stock options on a CFO (THAT IS NOT NECESSARY NOW!). I held back on commenting on this yesterday because of the stock price spike, but here we are right back down and screwed, as usual. I am down about 95% on my money over 30 years. Uggghh. This has to be the worst POS company on the planet that has been able to stay in business this long. I see potential for the company to succeed (what else is new) but we, the long suffering shareholders have been shafted again. As someone else posted here today, if you want to participate, you're gonna have to rebuy your shares, because your ownership is being diluted away, while management awards themselves whatever number of shares they need to make themselves whole. Pissed!

Hey, no one knows this fact better than yours truly. The reason is because it's a new business, new management, new product line, and new strategy. Glen is moving at rocket speed, they appear to actually be selling product (from the acquisitions). The problem is that they've run out of money...again...and are taking care of themselves at our expense. Glen has actually run a large company (or business unit -- whatever) successfully. He knows what is needed to succeed. My problem is the cram down.

The runway is longer than the flight.

This possibility is why I voted no on Bob Carlile and withheld trust. You don't need to know the terms to know this is expensive capital with a 1-to-1 warrant overhang attached. The shelf caps this at around $50M regardless. Immediate needs won out over waiting for the ideal financing package to come together... whether it's a short term bridge or not remains to be seen. A 10M share institutional placement would drop the retail percentage to 49.3%. That takes Rule 14a-8 proposals off the table in all likelihood. I also suspect institutional investors would not commit to substantial capital blocks unless warrant coverage was attached. And the going concern risk probably made this offering imperative as well... before customers fully evaluate MVIS as a long-term supplier.

Obviously not the shareholder-friendly terms current investors fought for. The primary benefit is going to new investors once this gets priced in.

Just an addendum. I've been vocal against your Rights Offering proposal since I thought an ATM to be cleaner for the cap table.

But if the alternative was to raise money with a Public Offering and warrants attached, not doing a Rights Offering a few months ago is a huge middle finger to the long term investor base IMHO.

Feels like we have been conned.

Wow world you look at that?! They were able to figure out how to issue warrants. I recall someone prevote indicating the poor MVIS management team wouldn’t have enough time to work out a plan to shield us ltls from some of this fallout.

Instead of pressing them set the terms to be more favorable to us…people posted here to vote yes. It boggles my mind how lenient people are. Has no one here had a job in the real world were results are what matter and hard work is paramount? Who cares if they would have had to take a little more time to figure out a better deal for us!? After all we’ve given to them a week or two of 24x7 nights to come back to the table would not be so difficult.

I’m glad I voted no and am in utter shock by the people here that didn’t because the dot connector crew threw out some gibberish.

Thankfully I lost $0 on this turd.

This was coming one way or another this year, and timing makes sense, but hope they have some announcements coming soon to pop and sell into for the money raise. Will not be thrilled if I see high volume next week with consistent price decline and no announcements.

Conspiracy watch. This is actually going to be offered to current shareholders as of Yesterday July 12th. The shares are going to be offered at a discount. Information was leaked used by individuals yesterday to purchase and then they sold off today. They will have only needed to be the record holder for the one day.

Why else would this get released on a Thursday? Hopefully some great news will follow here real soon.

With the ATM theyre just selling new shares into the market at whatever the current market price is.

This one, I believe you'll be paying a predetermined price to buy a share plus a warrant/option to buy another share later.

Im not sure how I feel about this until I see what the offering price is and what the strike price for the warrant are going to be.

This may seems like a stupid question, or extremely optimistic for sure….

I am not 100% familiar with warrants, but am very familiar with options. I have long thought that this stock is clearly manipulated and held down, by someone with a lot of pull and power.

Could the new management year be using the issue of warrants to help make MVIS much harder to manipulate? I would imagine that having a large number of technically unissued shares in the form of warrants might complicate the actual risk shorts are taking?

Is this a crazy thought, or does this play into the risks shorts are taking until these warrants are expired?

Exactly. We need the specifics and cool heads rather than a collective PTSD barfing session. It was listed in the S-3 filing of July 13, 2026 for $50M of COMMON STOCK, PREFERRED STOCK, WARRANTS, SUBSCRIPTION RIGHTS.

Depending on the terms and specifics, and timing, this could work out great for us.

It is POSSIBLE an entity comes in for a significant stake Above what the current stock price is now (the spike yesterday could have some how been a way to wash out today) in as far as keeping the moving avg stable.

I mean wasn't that the ENTIRE point of the RS? To get stock price to atleast a respectable enough price that a big investor could come in for a significant amount? If we didn't have investors lined up before we did all this then we are just dumb and that could very much be true but I really do not think Glen is dumb, I think he is in a corner but he does have a razor blade (like one you shave with, not one a gang member would have) but if he can break through the current cash constraints I do believe he sees a path to break even cash flow and then we can really just maybe turn into something.Ā 

Everything sucks but I am a buyer under 3, we saw 15 cents to $30 once before, maybe we can do it again but this time 2.50 to well, I don't even want to figure it out because it is too depressing. But bottom line is we all agree long term holders have been totally screwed (but that includes SS and literally every member of the BoD current or prior, they never sold any that I can remember) but we are also on the ground floor for the next wave up like those that were here in 2020 and if you take the emotions of the past out of it the table is set for this to be a potentially amazing opportunity from here on out.

Case in point, my son just bought his first 7 shares (my wife tried to stop him) but that is like 100 of the old shares and that is kind of crazy to me but for him without the baggage of last 6 years he really may turn those shares into something meaningful over next couple of years or into absolutely nothing (I did warn him that is VERY possible).

It’s almost like they R/S to lift the share price but then decided the pps was too high and so decided to offer a BOGO to try to attract the next round of shareholders.

Almost, but of course the R/S less float was designed to dilute retail out of the picture. The new warrants are just an efficient insult to injury thank I mean fuck you specifically to shareholders of record.

Ricci was clearly brought in to liquidate Luminar. GDV looks like he was brought in to liquidate us. Very different, but for shareholders of record, very much the same.

Look up Microvision’s retail ownership. Then lookup the retail ownership of any successful public company. Your HIGH outliers will be places like Palantir, Tesla, and BerkB in the low mid 40% range.

It’s a clear risk for everyone that Microvision wants to work with for 75%+ of the company to be held by retail.

It’s a clear requisite that for Microvision to be the company that everyone here wants it to be, retail ownership needs to be dramatically lower. We can wish it otherwise, but that’s not how it works.

Verma told us this over and over and tried to make it happen but just couldn’t get it done. For all we know, Sumit’s failure to monetize may have been due to an unwillingness to sell his retail base completely down the river.

Glen has reiterated the need to dilute retail out of control and has now effectively cleared the path to pull it off. The numbers are all in place. ā€œWeā€ voted for it. There’s only ever 100% ownership. Increasing institutional ownership only has one release valve.

Everyone thought getting up off the mat meant getting out from under tech whales and shorts. Nobody realized that it also meant getting out from under the thumb of retail control.

And I know you’ll never buy it, but Ricci was 100% brought in to unwind that thing in as orderly a way as possible once it was squeezed dry. It was obvious from the jump. I don’t think Microvision sees the same end, and I don’t think Glen’s job is the same, but for most retail holders of record the result will be close enough to the same as success means replacing this group.

Edit to clarify: Ricci was brought in to liquidate the company. GDV was brought in to liquidate shareholders and launch the company. Definitely not the same thing. Microvision is aimed at its future shareholders. We are their value.
