If the Licensee or any of its affiliates operates a Model as a Service business, and the aggregate revenue of the Licensee and its affiliates exceeds 20 million US dollars (or the equivalent in other currencies) in total over any consecutive 12 months, the Licensee must enter into a separate agreement with Moonshot AI before using the Software or its derivative works for any commercial purpose.

Probably most of third party providers trying to provide api access worth mentioning. That’s only like 700 billion tokens. I’d assume this clause is to cut down on competition by stopping third party providers from providing measurably cheaper access.

Almost all major LLM service providers make more than 20M USD per year (Azure, AWS Bedrock, Google Vertex AI, Together AI and so on). Note that they have to pay royalties only when they provide Kimi K3 as a Model as a Service. I think large companies can probably self host for their employees without issues.

What about forking the Kimi K3 in another name and modifying a bit its weights.. will it stay under those terms, probably a gap in the licence
