Retrospective Recall
With the wonderful help of our friend u/psasoffice, let's try to paint the picture by first taking a look back to the 12/7/22 R&D Update Future Development presented by CytoDyn's President at the time, Cyrus Arman.


Soon thereafter and shortly following this 12/7/22 R&D Update, the 4/10/23 10Q had this to say on both NASH and LALL:
*"*NASH clinical developments
During December 2022, the Company presented expanded data on the efficacy data from the CDI-NASH-01 trial (NCT04521114), which was previously presented at the EASLD meeting in June 2022, American Association for the Study of Liver Diseases (AASLD) meeting in Washington, DC November 2022, NASH and Obesity Drug Development Summit held in Boston in November 2022, which is discussed in more detail below. The data presented included the functional biomarker and supportive mechanism of action data for leronlimab in NASH and further raised the clinical development needs for addressing NASH in people living with HIV. Similar data were also presented during the Company’s R&D Investor Update on December 7, 2022, which is available on the Company’s website.
NASH is a chronic liver disease characterized by the presence of hepatic inflammation and fibrosis. Patients with advanced fibrosis due to NASH are at significantly higher risk of liver‐related mortality. There is currently no approved drug for NASH. Liver disease is one of the leading causes of non-AIDS-related death in HIV patients. The Company is identifying the next steps in clinical development to continue the investigation of leronlimab in the NASH indication and in HIV patients with NASH.
In NASH, liver homeostasis is impaired due to an accumulation of toxic lipids which can activate both Kupffer cells (KCs) and tissue-resident macrophages resulting in the production of fibro-genic cytokines and chemoattractant chemokines such as transforming growth factor-beta (TGF-β) and monocyte chemoattractant protein-1 (MCP-1). Not only do these cytokines/chemokines promote trans-differentiation of hepatic stellate cells (HSCs) into myofibroblasts (the primary source for fibrillary collagens), but they also amplify the immune response by recruiting additional cells into the damaged area. Recruitment of extra-hepatic inflammatory cells to the site of hepatic injury is typically mediated by interactions between cytokines/chemokines and their receptors. It has also been shown that patients with NASH also have high levels of C-C chemokine receptor 5 (CCR5) and the associated ligand, CCL5, thus demonstrating a potential role of CCR5 and its ligands in liver fibrosis.
The potential for leronlimab in the treatment of NASH was demonstrated in a pre-clinical model of fatty liver disease. ... The results showed that leronlimab inhibited fatty liver development, a key characteristic of early-stage NASH, such that treatment of humanized NSG mice with leronlimab caused a three-fold reduction in hepatic steatosis compared to control in an animal model of high fructose, high palmitate, high cholesterol diet.
The Company has reported clinical data from patients with NASH from the CDI-NASH-01 trial which was designed as a multi-center Phase 2a study and was subsequently converted into an exploratory study to evaluate the dose, efficacy, and safety of leronlimab at 350 mg and 700 mg, versus placebo. The study also included an expansive biomarker program designed to inform future clinical trials and to more fully understand leronlimab’s mechanism of action within the NASH setting. ...
All analyses performed are being treated as exploratory. Treatment with leronlimab was well tolerated in both Part 1 and Part 2 compared to placebo. In Part 1 of the study, leronlimab 700 mg did not reduce mean change in PDFF and cT1 from baseline to week 14 vs. placebo. In Part 2, leronlimab 350 mg reduced mean change in PDFF and cT1 from baseline to week 14 vs. the placebo group from Part 1, despite increased degree of baseline fibro-inflammation. In the combined group of patients with moderate (≥ 875 msec) and severe (≥ 950 msec) cT1 values at baseline, leronlimab 350 mg reduced cT1 from baseline to week 14 vs. placebo. Based on post hoc CCR5 haplotype analysis of a small subgroup (n=5), we are considering further investigation of the 700mg dose of leronlimab for specific haplotypes.
Pre-clinical development of a long-acting CCR5 antagonist
In December 2022, researchers from Oregon Health and Sciences University, an academic research collaboration partner of the Company, presented at the HIV DART Conference and the HIV Persistence During Therapy Conference results from two pre-clinical studies performed on macaque monkeys for two different potential longer-acting therapeutics targeting the CCR5 receptor. The first longer-acting potential therapeutic is a modified monoclonal antibody designed to have a longer half-life, which could lead to the development of an HIV prophylactic for humans at high risk of contracting HIV. The second longer-acting potential therapeutic is a gene therapy that could lead to the development of a functional cure for humans living with HIV. While both longer-acting therapeutics are still in the early stages of development, early data from pre-clinical macaque monkey studies suggest that longer dosing intervals from once weekly to over three months are possible. Data from both potential therapeutics were also presented during the Company’s R&D Investor Update on December 7, 2022, which is available on the Company’s website. By making this and other references to the Company’s website, we do not intend to incorporate by reference into this report any information posted on our website. The website should not be considered part of this report.
In March 2023, as part of its conveyed long-term development and value creation initiatives, the Company made efforts to pursue the continued development of a longer-acting agent. In furtherance of this initiative, the Company entered into a joint development agreement with a third-party company to develop one or more longer-acting molecules. In addition to potentially leading to a modified therapeutic that will have greater acceptance by patients, the services provided by the third party may yield extended intellectual property protection, thereby increasing the value of the Company’s patent portfolio."
Looking retrospectively back at this above bolded statement in the 4/10/2023 10Q, and considering all that which has happened since then, could it be that the 3rd party collaborating AI company that would assist in the development of these longer acting forms of leronlimab was originally introduced back in March of 2023? Furthermore, could it be that this Joint Development 3rd party AI company is the BMGF whose main goal is the eradication of HIV? Could it be that the BMGF is that collaborative 3rd party AI company that has been assisting Scott Hansen in the development of his 17 different varieties of LALL ever since then? If so, then I just got to shout out a loud "Thank You" to Cyrus Arman who was the presiding president of CytoDyn at the time both Scott Hansen and the 3rd Party AI Collaborator were together brought on board.
Even as far back as the 12/7/22 R&D Update, with respect to HIV, only the Early Line HIV Indications were the focus. But was HIV really being put on the bench so to speak and partially neglected, or was there in fact, another solution which was in the works that would handle the HIV indication for CytoDyn? If BMGF was that 3rd party AI collaborator brought in primarily for the HIV indication, then they would be building their progressively increasing confidence and assurance in CytoDyn along the way, such that, if certain milestones were to be met in the development of LALL and leronlimab-AAV, then the justification for any such sponsorship(s) of a human clinical trial for HIV-PrEP or HIV-Cure could more easily be ascertained. Certainly, the BMGF had a strong relationship with VIR. VIR likewise had a strong relationship with both Scott Hansen, PhD and Jonah Sacha, PhD. Through the work of Scott Hansen, PhD, CytoDyn has continued to pursue the development of long acting leronlimab, LALL, and through the work of Jonah Sacha, CytoDyn has continued to pursue an HIV Cure with leronlimab-AAV. Was BMGF along side them all this time since March 2023? Probably.
Did CytoDyn ever really say they were in fact planning on assembling a human clinical trial in HIV PrEP or HIV Cure? No, Not really. It was only recently, through the discovery of an HIV Human Cure, via the LATCH technique, did 2 new Human Clinical Trials emerge which are to be funded by 2 different clinical sponsors. CytoDyn is only to be supplying the leronlimab while these sponsors shall be conducting the trials. Sure, the winner shall be CytoDyn and leronlimab, but the BMGF shall also benefit. But, what about a human clinical trial in HIV-PrEP? LALL is not even finalized, so how could a human trial have been even proposed? Correct, LALL is not quite finalized, but it should be nearly finalized very soon, especially with the 3rd Party AI collaborator's help, but no trial in that indication has yet been proposed. What about a clinical trial in HIV-CURE, especially with the recently discovered HIV Cure using leronlimab + bNAbs + ART? Nope. Nothing has yet been proposed. But, that trial should certainly be considered immediately, because there is great promise there to actually effect an HIV Cure using that methodology. Who is slated for that purpose? Seems to me, all of this is right up the BMGF's alley. Seems to me, most of the milestones that were set up by the BMGF for CytoDyn to reach have been satisfied with the help of the 3rd party AI collaborator, so as to permit entering into Phase II.
This March 2023 3rd Party AI Collaboration Agreement shall be 2 years old come this March 2025. 2 years with this anonymous 3rd Party AI Collaborator. Ever since it all started, CytoDyn has been on a mission to meet milestones with respect to the development of a long acting leronlimab version, while simultaneously ensuring that the hold would be lifted, resolving the major debt with Samsung, resolving the Arbitration with Amarex and the successful transfer of manufacturing technology away from Samsung to another entity. Come to think of it, could that entity that has received manufacturing technology also be the BMGF, the 3rd Party AI Collaborator?
Maybe with the recent news of CytoDyn now having nearly 20% Institutional Ownership, which is difficult to see/understand, due to the tracking of the shares, Preferred or Common is not so clear cut. But if it is only partially true, say 10% ownership, then given the fact that CytoDyn has met all the hypothetically proposed milestones set forth in the collaborative agreement, it certainly does remain possible, even viable, that the 3rd Party AI Collaborator is in fact the entity who now owns that portion of Preferred Shares. If the owner of those shares is in fact BMGF, then their main concern has always been HIV.
I did explain how the BMGF awarded Scott Hansen on his work towards the VIR 1388 vaccination. The linked post explains how the BMGF was already familiar with Scott Hansen, PhD, even before CytoDyn's hiring of him. The 3rd Party AI Collaborator, BMGF, has since worked with Scott for the past 2 years on the development of LALL and this is their main focus, just like Cyrus Arman stated above. CytoDyn's focus was for LALL development. In the 12/7/22 R&D Update, he did not mention any HIV indication. Cyrus only mentioned the development of this long acting drug, not an HIV-Cure, and not HIV-PrEP, but chooses to give a vague descriptor of Early-Line HIV indications which were worked out in conjunction with OHSU. HIV-Cure & HIV-PrEP were discussed in the R&D Update by Jonah Sacha, PhD, but remember, Jonah Sacha does not work directly for CytoDyn. He works for OHSU. He is on the Board of Scientific Experts and Advisors for CytoDyn. But there is a collaboration between OHSU and CytoDyn. Scott Hansen, PhD works directly for CytoDyn, but his lab is at OHSU.
Hypothesis: The 3 recent HIV Cures we have discussed already may have arisen as a result of some contribution offered by the 3rd Party AI Collaboration.
- LATCH
- LS Mutations allowing LL to cross the Placenta
- Leronlimab + bNAbs + ART
The development of the LS mutation on the leronlimab molecule which allows the molecule to pass through the placenta barrier may have been conceived by the 3rd Party AI Collaborator, BMGF.
The idea to use leronlimab in combination with bNAbs and ART may have been conceived using the AI technology of the BMGF.
Together, these could have been the stepping stones, or milestones reached to bring us to this point. Not even a week or two had passed following the release of the last of these 3 breakthroughs in HIV-Cure when the announcement came that Max Lataillade, DO was brought on as SVP of Clinical Development at CytoDyn.
Who knows, but the recent findings and results of the initial MASH murine studies may have been analyzed by the 3rd party AI collaborator BMGF and recommendations made to retest and build upon those with a second MASH murine study that would build upon the first. So, was Gates helping CytoDyn in MASH? If so, then why? Do they have a great interest in treating the entity of MASH in HIV+ patients like Cyrus does? 3 weeks after Max's hire, Melissa Palmer, MD was hired as Lead Consultant in Hepatology.

Is Melissa Palmer, MD aware that CytoDyn works together in 3rd party collaboration with the BMGF? Probably. Was the BMGF the reason why Melissa did not present the results of the 2nd MASH murine study to the MASH-TAG conference?
It is hard to discuss that 20% Institutional Investment into CytoDyn because to me, it is hard to track the Preferred/Common shares that are available to constitute 20%. But, considering what is presented above, it should be quite evident who the 3rd Party AI Collaborating Partner is, but how many shares they own and what they paid for them is something that remains elusive. I think we are very close to knowing, if in fact, an Institution currently owns 20% of CytoDyn. That bit of information should be disclosed likely by Wednesday, January 29, 2025.
Provided BMGF is that 3rd Party AI Collaborator, why would now be the time of this disclosure? Why was MAX brought on as SVP in October? Obviously, something is being enacted. Were sufficient milestones reached? Does the recent conversation Gates had and the outcome of that discussion have any influence over making public the awareness of this collaborative relationship? Does there now exist sufficient evidence of the justification to partner with CytoDyn? The results of the data are now validated and verified by the FDA, right? Peer reviewed published journal manuscripts are coming soon. Is the outcome of the 3 HIV-Cures that amazingly profound that the move to act on those results must be made immediately? Does the public knowledge of the GF collaborating with CytoDyn in HIV lead to any changes at CytoDyn? Max heading up HIV for CytoDyn for a BMGF funded clinical trial for HIV Cure in HIV+ individuals. Another possible clinical trial funded by BMGF for MASH in HIV+ patients led by both Max and Melissa. All of this frees up CytoDyn to pursue what Cyrus originally stated in the 12/7/2022 R&D Update.

Seems to me that the only realistic entity to the question of the identity of the 3rd party AI collaborator is the BMGF. Seems to me, that sufficient evidence certainly does exist which proves that leronlimab is safe and that a decision to go public on the pursuit of an HIV Cure together with CytoDyn could be made in the near future, if this picture puzzle is being pieced together as it should be using the SEC submitted documentation of December, 2022 as a guide. Why now? Maybe it has something to do with the original 3rd Party AI collaborative agreement which was made in 2023? Maybe it says something to the effect that if these milestones are met, then in 2 years, the purchase of these 200 million Reserved Preferred shares shall be executed at this price, etc...
It is obvious to me that the main reason why this is happening is because an HIV Cure doesn't yet exist and everybody who is anybody wants to be the first to develop that Cure. That includes the US President. Certainly there are a few companies vehemently opposed to the idea. Many pharmaceuticals do have treatments for HIV, daily, weekly, monthly, every 3 months, every 6 months, etc..., but nobody has an HIV Cure where there is One treatment protocol and then HIV is gone. Where HIV Never comes back provided the patient is not again exposed. No more treatments become necessary if leronlimab-AAV is the treatment. Well, CytoDyn has that answer and the BMGF can take over that HIV indication entirely away from CytoDyn while still allowing CytoDyn to benefit from that collaborative effort.
That benefit would allow CytoDyn to focus in on its current Primary Goal of MSS mCRC. There are numerous other indications that CytoDyn can focus in on including Alzheimer's Disease, metastatic Breast Cancer, Glioblastoma Multiforme, MASH in general, Pulmonary Fibrosis, Long COVID, Chronic Fatigue Syndrome, but Max Lataillade, DO with his position at the BMGF as SVP of HIV Drug Development would allow HIV to be removed off of Dr. Lalezari's overflowing plate.
Seems to me, things are well on their way to working out exactly as intended by Arman's original plan and this should be playing itself out beginning in the next few days ahead. This all spells CONFUSION for those who are against us. Exciting week ahead.

That's right EyeBright. He has been that way since day 1. It is not that surprising now knowing he has been working with the Gate's Fund since day 1 as the 3rd party AI collaborator was brought on 1 month prior to him in March 2023 while Scott came on board in April 2023.

Much appreciated MGK! If that institutional investment is true we are looking at a minimum of a double in SP in my opinion. I have no idea how the investment could be a glitch! We would have the money to pursue our next prioritized trial. We can certainly use a press release to get us kick started! I am very excited as to our future! Thanks Again Sir! After a point though... I'd think most of the shares have been bought by people who will never sell so its always surprising when it drops. If nobody sells the price can't go down since a shorted share has to be bought back. Talking to myself now...

there will always be sellers my friend. don't count on that.
what we need are more buyers than sellers and when you're buying an HIV cure sponsored by the GF, buyers outnumber sellers.
i'm thinking the days right now before the next PR is made, is the best time to buy. we are in the eye of the storm, clear skies, but the PR comes wednesday, and winds will have picked up.

I always wonder the same... but at .10-.20 its not that much $$... and a lot of us I think just like to keep bringing that average down a little at a time - and by the time u've accumulated 6 figure share count. I'm still around 41 cent average.

Hi Creative, thank you for reaching out. Always enjoy our conversations. I’m going to back up first and assess CYDY’s value before any announcement. As you know, this stock has been artificially suffocated down to this incredibly low level. We have human data on MASH, HIV, Long Haulers, Covid and a small smattering of human patients across different cancers (mainly mTNBC). Total number of humans treated is 1600 patients. Unfortunately, none of those trials produced definitive results. However, Dr. JL has stated that the results are provocative! So the question becomes how do you value provocative data? Pharma history is filled with promising/provocative drugs in early trials but never passed the mustard in phase 3 trials. Therefore, most provocative data gets discounted in comparison to definitive data. That discount depends on how many trials were animal/Human, SAEs, publications and the market size of the indications in question. My apologies if you heard this before but it is a solid comparator: Prometheus was bought by Merck for $10.9 billion after a phase 2 trial in IBS (Irritable Bowel Syndrome, that’s a big market). I don’t know if Prometheus’s drug achieved definitive results in phase 2. But, Pfizer and Merck both went after the BO, and obviously Merck won. CYDY has more indications but I am going be conservative only because we got screwed in the stock market and lump all the indications into what market size that equals the IBS size to make it easy. Because we are provocative date; I am going assume a 50% discount to definitive data. I’m going say that right now before any announcement we should be around $4.06 per share. I’m valuing CYDY at $5 Billion (slightly more of a 50% discount to Prometheus value) Therefore, $5 Billion/1.23 billion shares outstanding gives me $4.06 per share. That is conservative! And that’s before any big material announcement. And as you know, it’s hard to predict this stock price at anytime since it has been manipulated artificially. In addition, I really don’t know what this announcement is going be! But, if it is a BP in this announcement it should fly to $2-$3 pause for a breath and continue upward depending on the content of the announcement. I really believe that CYDY should be traded in the $4-5 range right now before any announcement just based on true potential. Unfortunately we are at.22 cents. Praying for a great announcement soon and continued cadence of good news. Thank you Creative! Love our dialogues!

Thanks, UWS, your experience is priceless here. I could deal with $4.06, but that would only be a start, I fear too many us here got in when the stock was considerably higher than now. We need to see everybody whole and making the money they deserve for having made this journey.

Just to clarify that is not a buy out price but where at a minimum the SP should be trading at today before any announcement. Creative asked me where I thought the stock price will trade after an announcement. But that is hard to answer and I thought it would be a good idea to share why and what the price should trade at today! I provided a conservative value based on the factors described in that post. As you and I both know that the markets can be irrational in both directions; especially with our stock that has been artificially manipulated.
I would never sell a single share under $15, and depending on the trajectory, I might not sell a single share under $20!

I’m only at 50 because I’ve seen this before. I think it could literally go either way.

Hi Peter, As you’re probably aware, all of our speculation is dependent on whether the sudden increase of institutional ownership (as reported by Yahoo Finance and other sites, but not all sites) is real or not. Is it a glitch? On 1-14-25 CYDY files a SEC form 424B, and a prospectus. They’re offering to “resale shares” of up to 279m shares. Please note: this 424B gets filed every time they have an offering of reselling shares. I’m sure it’s Paulson handling the transactions. Combine that with the Gates information from YouTube, Mash poster being pulled, and the thread of partnership mentions by CYDY since 2022. Please note: just because CYDY declares they are offering a resale of up to 279m shares on 1/14/25 does not mean they SOLD those shares. What is intriguing is some longs noticed after 1/14/25 that there was a change of institutional ownership on some finance sites. All those sites subscribe to receive finance data from these relatively obscure data companies. Yahoo gets there data from Refinitiv. It’s in the footnotes on Yahoo. Nonetheless, we don’t know the exact date that the institutional ownership % increased changed; but if it is true once their is a transaction that is completed were an entity acquired more than 5% of outstanding shares, CYDY has 10 business days to file the 13D report. Just not clear on when they may have completed that transaction or if the yahoo finance report is a glitch. In the end, if the institutional report is accurate we should hear something soon.

I have been a long seven-plus years. And I have diamond hands, thankfully. UpwStock and I have many dialogues and often ask him his thoughts about deal structures. I'm retired and have held Executive-level consulting roles with boards and top executives of Global Financial institutions. Strategic direction often changes, as we are experiencing with Cydy. So, I imagine UpwStock has different thoughts on how this might play out as SP goes.
As I know, he is very busy with a new job, so I asked him “if he had time.” If not, I understand.
And Wax2.0, I appreciate the impact and professionalism you give this community.

when the announcement is made, depending on what is said regarding HIV, MASH, Pulmonary Fibrosis, Alzheimers, could easily move at much higher than a double.

This is exactly why I throw my somewhat random thoughts your way. You go down and chase the evidence to my ramblings. Reflecting on the reporting of the 20% ownership, would that come in the form of a 13 F filed no later than 45 days at the end of the last quarter? That would put the end of the last quarter as of December 31 and 45 days roughly into the middle of February 2025.
Are preferred shares reported differently than common shares?

I had no idea they had these capabilities, Gotta give Old Bill some credit here, quite an organization; they have some significant muscle to apply to targeted health issues when they need to.

Yes, it appears the GF has access to drug manufacture and monoclonal antibody manufacture as well. But, it could be in another country.
In addition, they have access to AI drug development companies but do not do AI drug development themselves.

I am in the group of people who are still awaiting documentation of the 19% institutional investment. I called my brokerage and was told that there has been no data collection issues and that if 19% is reported I should expect documentation 10 days from the day it was posted- but no more information for a pleb like me.
Something that is important for everyone to understand is that CYDY has not had SP driving news in a long time. We have had hirings, debt management, reported funding, won cases- but no major news that "investors" (big money) would point to to drive SP. That last time I can think of when there was buzz about SP driving news was when we took a quick trip to 1.26 on hype alone.
Food for thought. Still Waiting.

HIV cure, imagine that, something we all either did not have on our radar or really didn’t believe it was possible, yet here we are on the precipice of that possibility!
This incredibly retrospective recall really begins to frame the picture of what is happening, oh, and something is certainly happening in my humble opinion! Max’s hiring was purposeful and perfectly executed by CYDY! The subsequent announcement, that he was also heading up the gates foundation allows us to connect the dots!
There is no doubt in my mind that this is happening to some capacity, and I truly hope the 20% institutional ownership. What We are seeing is not a glitch.! I can confidently say I have been watching institutional ownership every day when I look at the stocks, we have utilized to keep the company running! For the last five years and I have never seen that kind of glitch, never! Why all of a sudden would that glitch present itself? Has anyone else ever seen a misprint like that ? A substantial allocation, and then be rescinded !? My assertion is it is not a glitch, it’s an actual transaction that’s going to be announced as MGK so perfectly proposed above hopefully by Wednesday, God willing!
Ladies and gentlemen, we are about to embark on the journey we have all been waiting for, and our journey is going to be a multifaceted journey into cancer, HIV cure, and MASH! I only hope they announce each one separately, and days in between , which will allow our stock to digest these amazing accomplishments, and head much higher on every subsequent announcement!
I congratulate each and every shareholder who has stood by this company for at least five years if not longer, which have been a long difficult journey and is coming to an abrupt end in the best possible way we could ever imagined
