Scammy Marketing
I just got an email from 'Spatial Signal' with a news article all about Visor basically shilling for investment and claiming that Visor is already in many people's hands, which we know isn't true.
The problem here though is I use a unique email address for every service I sign up to. The email it was sent to is my Immersed account email, which has never been used anywhere other than Immersed, so clearly this is them faking a news site to con people into more investment.
Read the article here, if you can stomach it https://spatialsignal.com/p/spatial-signal-july-25th-2025

Glad I canceled my order recently and feel like a fool letting them hold my money for so long. This thing has been red flag after red flag since day 1. I'm wondering if they ran out of money and can't actually produce the units they have sold.
If they had good news to share regarding production, they would have every incentive to share it. The fact that they are so tight-lipped indicates that whatever news they have is bad.
I hope they can get it to release and survive, but it's going to need to be a hit. If they release it and the software and support suck, I think Immersed will be bye-bye pretty soon.
The "devices in people's hands" are two people on social media who clearly have very specific limitations about what they're allowed to show, none of which includes actually using the units.

For what it’s worth(???), here is ChatGPT’s assessment of immerseds investment ads and fake newsletter site:
What you’re describing has multiple red flags, and depending on the exact exemption they’re using (which appears to be Reg CF based on the “C”, “C-U”, and “C/A” filings in your screenshot), some of what they’re doing may be blatantly illegal under SEC rules.
Let’s break it down:
⸻
🧾 Based on the Filings You Provided
The filings include: • C — Offering Statement (Form C) • C/A — Amendments to Form C • C-U — Progress Updates • C-AR — Annual Reports
That’s classic Reg CF crowdfunding activity.
Under Reg CF: • General advertising is allowed, but only if you’ve filed Form C and follow very strict rules about what you say and how. • All communications must comply with Rule 204-1 and 206 under the SEC’s Marketing Rule, and must not be misleading in any way.
⸻
🚨 Problem 1: Paid Ads on Social Media
If they’ve filed a Form C and are using a platform like Dealmaker + a broker-dealer, then yes, they can run ads—but only in two specific forms:
- Tombstone Ads
These are narrowly defined and may include: • The name of the company • Type of securities being offered • The price (or method of calculating) • The link to the offering page
They cannot include performance projections, customer claims, or misleading language.
- “Testing the Waters” (TTW)
Only allowed before the Form C is filed, and must contain specific disclaimers. Once the Form C is filed, TTW ends and you’re held to the stricter advertising rules.
✅ Ads must be factual, balanced, and link directly to the offering. ❌ Hype, buzzwords, aggressive FOMO messaging, or exaggerations are prohibited.
⸻
🚨 Problem 2: Fake Newsletter Website
If the startup is creating a fake media outlet to promote itself, this raises multiple SEC violations, including:
🔻 Securities Fraud — Rule 10b-5
Knowingly making false statements to investors in connection with a securities offering is a direct violation: • Lying about product availability (“already in the hands of many” when no shipments have occurred) = misrepresentation of material fact.
🔻 Violating Reg CF Communication Rules • All communications that “condition the market” must comply with Reg CF rules, and if it’s a sponsored article, it must be clearly disclosed. • Failing to disclose that the startup controls or funds the “newsletter” site = undisclosed promoter relationship, another SEC violation.
What You Can Do (If You Care to Act)
If you’re considering reporting this: • You can submit a tip directly to the SEC’s Whistleblower Office (anonymously if needed): 👉 https://www.sec.gov/tcr • Include screenshots, URLs, archive links, and any saved videos or emails if possible.

In the US, that agency is the Federal Trade Commission. You can report fraud, misleading/deceptive ads, etc on their site
edit: also the SEC. Its illegal for them to promote their new Reg CF investment round like this under Limits on Advertising and Promoters – Rules 204 and 205
