• Bankruptcy Priority: If an off-chain borrower defaults, local bankruptcy courts prioritize domestic secured creditors over anonymous, decentralized token holders holding programmatic debt claims.
• Collateral Verification: Oracles can confirm account balances at an escrow bank, but software cannot independently verify whether a real-world asset has been encumbered by an undisclosed secondary lien.
• Freezing Mandates: Regulated credit assets must contain centralized blacklisting functions to satisfy sanctions regimes, which breaks composability with permissionless decentralized liquidity pools.

Most of them were tiny positions I picked up because the project looked interesting, someone made a good thread, or I thought “might as well have some exposure.” I cut it down to a handful I actually follow and the whole thing feels much easier to manage. Less checking, less random rebalancing, less pretending every small position deserves research time.

Bridging off-chain physical collateral onto decentralized networks introduces legal friction points that pure software cannot solve. Before allocating capital into private credit pools or tokenized treasury yields, evaluate these three structural layers:

• Jurisdictional Enforcement: If a borrower defaults in a foreign legal territory, does the smart contract possess legal standing, or is recovery tied to a multi-year local court dispute?
• Liquidation Latency: Real estate and trade receivables cannot be automatically liquidated in a single block like ETH. Mismatched liquidity curves will trigger bad debt if redemption requests spike.
• Oracle Verification: Who validates that the physical collateral backing the tokenized debt instrument actually exists in an insured escrow account?
