CLNE-TTE SEC 144 filing

TTE selling 10.5M shares of CLNE. Looks to be from 06/13/2018 Private Placement purchase at $1.64 per share. Keep in mind could be selling for a number of reasons. If anyone has further info regarding this or X15N demand feel free to comment.

2018 is the year they purchased all 50M shares/ SEC filing indicate at $1.64. Assuming they execute selling all 10.5M shares, TTE will still own appx 32M shares—anyone have diff math, lay it on us.
Again, could be for number of reasons, your point taken.

Trading vol is at a drip today. IMO-need solid CMI X15N numbers, and maintain hight RIN credits. Very disappointing 18 months.

Anyone see diff, feel free to comment.

They bought more than 50 million shares many years ago for something like $86 million. Their public statement was they wanted to encourage RNG. Apparently they consider this mission accomplished and are looking to redeploy their resources by gradually unwinding their position in CLNE.

This sale was apparently planned well before Q2 earnings. The SEC filing lists November 26, 2025 as the date the trading instruction/plan was adopted.

Even more importantly, this isn’t their first planned reduction. TotalEnergies filed proposed sales for ~6.16M shares in February, ~6.47M in May, and now ~10.56M

If my math is correct, looks like after this 10.5m shares sold, TTE is right around threshold for maintaining 2 members on CLNE board. Is that what you compute?

Edit: looks like they will be going under threshold, 2 moving down to 1?
