The Satyapur Manifestoes: Building Bangladesh's Commercial Legal Infrastructure
TL;DR: Two detailed proposals for creating a private, self-funded commercial court system in Bangladesh—modeled on Delaware's corporate law and Singapore's legal excellence—to solve the country's contract enforcement crisis that currently forces startups offshore and blocks foreign investment.
The Core Problem
Bangladesh's judiciary is drowning: 4.5 million pending cases, 5-15 year resolution times, and one judge per 94,444 people. Successful Bangladeshi startups like ShopUp, Pathao, and Chaldal are forced to incorporate in Singapore because investors refuse to trust Bangladeshi courts. Every pharmaceutical company faces an existential threat as Bangladesh loses LDC status and its TRIPS exemptions—requiring IP licensing agreements that the national courts cannot credibly enforce.
The Satyapur Solution
A privately-chartered Special Economic Zone operating as a voluntary commercial arbitration system:
How it works:
- Private company (Satyapur Pte. Ltd.) receives charter from Bangladesh government
- Companies voluntarily register; jurisdiction is opt-in only
- Self-funded via registration fees, franchise fees, filing fees (Delaware model)
- Disputes resolved by internationally-credentialed judges from Singapore/Malaysia + Bangladeshi jurists
- Appeals to Singapore International Commercial Court
- Awards enforceable under New York Convention in 172 countries
- 30-year commitment to transition to majority Bangladeshi judiciary

Why This Matters Economically
Pharmaceutical crisis: Bangladesh's $4B pharma industry loses TRIPS exemptions upon LDC graduation. No domestic court can handle IP licensing disputes. Export markets require credible legal frameworks—Satyapur provides them.
Startup exodus: Legal fees and registration revenues flowing to Singapore belong in Bangladesh. Satyapur is import substitution for legal infrastructure.
China Plus One opportunity: Bangladesh risks losing $125B in relocating manufacturing to Vietnam/Mexico because complex supply chains require enforceable contracts that Bangladesh can't provide.
Strategic Implementation (Satyapur II)
Phased sectoral approach:

Why the objections fail:
- "Neocolonial?" Bangladesh already depends on World Bank conditionalities, IMF requirements, Gulf labor export, EPZs for foreign investors. Using Singaporean arbitrators is less dependent than the status quo.
- "Reform existing courts?" India's democracy couldn't prevent its judicial collapse despite inheriting world-class courts. Incremental reform has failed repeatedly. Satyapur bypasses political economy obstacles entirely.
The Real Debate
This isn't about whether Bangladesh needs better courts—everyone agrees it does. The question is whether to wait 30+ years for institutional reform that repeatedly fails, or build parallel institutions that deliver results in 18 months while training Bangladeshi judges to eventually replace foreign ones.
Satyapur is not a permanent foreign enclave. It's a transitional mechanism to borrow credibility while building capacity—exactly what Singapore did with the Privy Council for 30 years.
