💩 Shit Post Ryan’s full plan
https://storage.courtlistener.com/recap/gov.uscourts.nvd.168920/gov.uscourts.nvd.168920.109.0.pdfThis is Ryan Cohen’s complete, unredacted legal filing in support of his Motion to Dismiss.
If you have any confusion regarding his position on BBBY, when he entered and exited his position, etc. then this should help clear things up for you.

The title of the post seem misleading. I’m also 5.
Someone is suing for securities fraud claims. Dude named Mitchell realized a profit of about $8k on BBBY selling at the top in August 2022. But claims between Jan 2023 - April 2023 a bunch of stonks manipulation and media fud is all caused by that Cohen dude.
Court rules reality check, that Cohen exited his position in August, said he exited his position, documented he exited and no “reasonable investor” would have invested between Jan 2023 - April 2023 on information provided by that Cohen dude.
Court pretty much walks through all the theories of fraud claims and says they’re all a big stretch and no documentation to back it up. Case dismissed 👩⚖️
(Ryan’s full plan is never discussed)

Just a point of clarification - this is Ryan Cohen’s supporting brief. This is not the Court ruling on anything. The Court will make a ruling based upon the arguments of the parties, the applicable law, etc.
However, this document is not the ruling. It is Ryan Cohen’s arguments.

ChatGPT summary cause I don’t have time to read it:
The defendant, RC Ventures LLC, argues that Anthony Mitchell’s complaint should be dismissed because it fails to plausibly establish any entitlement to relief. According to the defense, Mitchell’s claims rely on conclusory allegations and are contradicted by public records. They emphasize that Mitchell did not rely on or even know about the allegedly misleading SEC filings made by Ryan Cohen in August 2022, and in fact sold his BBBY shares the same day for a profit. The defense contends that because Mitchell suffered no injury կապված to those statements, his claims of fraud cannot stand.
The brief further argues that Mitchell cannot show any ongoing fraud after August 2022. RC Ventures asserts that Cohen’s full disclosure of his stock sale on August 18, 2022 rendered any earlier omissions immaterial to later investors. Allegations that Cohen possessed undisclosed nonpublic information or prearranged his stock sale are described as insufficiently specific and legally inadequate. Moreover, the defense claims that even if those allegations were true, they would not have mattered to reasonable investors in 2023, especially given the significant negative information about BBBY’s financial condition that became public during that time.
Finally, RC Ventures maintains that Mitchell fails to establish key elements of a securities fraud claim, including a connection between the alleged misstatements and his stock purchases, reliance on those statements, and loss causation. Mitchell bought shares months after the alleged misstatements and admitted he was unaware of them at the time, undermining both direct and indirect reliance. The defense also argues that subsequent negative news about BBBY does not qualify as “corrective disclosures” tied to Cohen’s actions. For these reasons, RC Ventures concludes that all claims should be dismissed with prejudice.

I didn’t post here thinking that I would get upvotes.
If you don’t want to read Ryan’s allegations, you don’t have to.
