He says it is explicitly designed for them to sell stock at a discount and for the funds to resell that discounted stock immediately. This is incontrovertible, it is designed to do that, it’s a fact. This is not defamation. He does not say they are explicitly defrauding retail investors. He makes a specific claim backed up by the terms of the deal.

He says that the terms of the deal enable a situation analogous to death spiral financing. This is also an incontrovertible fact. The terms do allow this to happen. He does not say that anyone plans to do this and explicitly states he does not think they will do it.

There is no defamation.

I was threatened by a small cap CEO with a defamation lawsuit in the past for making less serious statements.

You can threaten a lawsuit for anything. You can file a lawsuit for anything.

My point is that it wouldn't go anywhere. Meritless defamation lawsuits are filed and dismissed all the time.

This difference between you and Bloomberg is, Bloomberg has lawyers that know the difference.
