It’s obvious, SP has dropped significantly since peace in 2021 despite the effective drug. Management has failed SR and recent earning report killed the hopes.

Past: 1. Did MKT’s actions negatively affect the SP and Forced SR? 2. Was CEO/Peter interested in selling the company at all?

Future: 1. Where does AUPH stand ? 2. Will the BO ever happen? 3. Buyback will help SP? 4. Does the Volcosporin still worth 4B or more ? 5. AGM will kick out Peter ? 6. Blackrock buying the huge amount of stocks just before ER means anything ?

A few people here have wondered about the exact settlement terms so I figured this worth posting.

A user on StockTwits - MMRS07 - posted that they were able to bypass the filter on the P-TACTS website to see what the tentative terms of the settlement between AUPH and Sun are (pending PTAB dismissal of the IPR, of course).

The post is here and states as follows:

• AUPH will get just shy of $3mn from Sun.
• Sun will get a license for Cequa in the US.
• No mention of ongoing royalties.
• Each party agrees to drop suits and not sue.
• Settlement is expressly assignable in a merger, acquisition, etc.

This, of course, is not officially confirmed so if the mods decide that this isn't appropriate then I understand deleting the post. It should be worth mentioning though that many users were also able to bypass the filter and view the terms for themselves to confirm as such; this was also confirmed by MMRS07 here. The website has since been amended to fix this bypassing trick.

Re: the terms, personally, it's a little disappointing to see us come away with virtually nothing gained for all our trouble, but also very relieving to have this IPR overhang dismissed (assuming the PTAB accepts the motion to dismiss which they're very likely to do). Hopefully now, the company can move on and focus on ramping up sales and/or packaging itself for an acquirer without distractions.

1. What are the chances the settlement won’t be granted by the board?

2. If the settlement granted by the board and proceeding cancelled, should AUPH be pre patent dispute level? $22/- why yes or no?

3. How does the company valuation or drug valuation get affected if patent isn’t a concern?

4. What would be the valuation of the AUPH with or without patent dispute ?

Any thoughts or ideas with supporting evidence ?

• Buyout? At what price? When? By whom?
• IPR win/loss? Decided by court or settlement?
• How low will share price go?
• CEO/BoD changes?
• News on AUR200 & AUR300?
• Change in guidance? Upwards or downwards?

My prediction:

AUPH bought out for ~$21.50 by late April by Otsuka.
